THIS SWEEPSTAKES IS OFFERED ONLY IN THE 50 STATES OF THE U.S., THE DISTRICT OF COLUMBIA ("D.C."), AND CANADA (EXCLUDING THE PROVINCE OF QUEBEC) AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY. PLEASE DO NOT PROCEED IF YOU ARE NOT A CURRENT LEGAL RESIDENT OF ONE OF THOSE AREAS.

1. Eligibility: The Wonder What You Can Win? Sweepstakes ("Sweepstakes") is open only to permanent legal residents of the 50 states of the U.S., D.C., and Canada (excluding the province of Quebec), who are physically located and residing therein, and who are 18 years of age or older as of December 3, 2008. Entrants must have either a valid social security number, a valid U.S. personal tax identification, or a valid social insurance number to participate. Employees, officers, and directors of Sony Pictures Home Entertainment Inc. ("Sponsor"), BR IP Holder LLC, Overstock.com, Spa Addicts, Sweepstakes administrator, each of the entities’ parent companies, affiliates, agents, sales representatives, subsidiaries, distributors, advertising and promotion agencies and other related entities, each of the entities’ respective prize suppliers, authorized designees, any other individual or entity associated with this Sweepstakes (collectively, "Sweepstakes Entities"), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.
2. Sweepstakes Description: This Sweepstakes begins at 3:00 p.m. Pacific Time ("PT") on December 3, 2008, and ends at 3:00 p.m. PT on June 3, 2009 ("Sweepstakes Period"). This Sweepstakes consists of two (2) promotions: a Grand Prize/Monthly Prize Promotion and an Instant Win Promotion. Each monthly sweepstakes begins at 12:00:01 a.m. PT and ends at 11:59 p.m. PT on the respective 1st and last day of each month, with the exceptions of the December monthly sweepstakes which begins at 3:00 p.m. PT on December 3, 2008 and the May monthly sweepstakes which ends at 3:00 p.m. PT on June 3, 2009.
3. How to Enter: Grand Prize/Monthly Prize Promotion: To enter the Grand Prize/Monthly Prize Promotion, access the Sweepstakes Web site located at www.sonypictures.com/familyzone/instantwin ("Web Site") and follow the online instructions to complete and thereafter submit a Sweepstakes entry form ("Sweepstakes Entry"). Information required on the entry form consists of your Email Address, First Name, Last Name, Date of Birth, Street Address (no P.O. Boxes), City, State/Province, Zip Code/Postal Code, Phone Number (including area code), and Gender (collectively, "Entry Information"). All required Entry Information must be completed in full. Canadian entrants must also provide the correct answer to a time based mathematical skill testing question ("Answer"). The required mathematical skill testing question for Canadian entrants is "what is 2 plus 2, subtracted by 2, multiplied by 2, divided by 2." Canadian entrants must correctly answer this question unassisted without any outside help within 2 minutes. To be eligible for a particular monthly sweepstakes, Sweepstakes Entries must be received by 11:59:59 p.m. PT the last day of the month for the respective monthly sweepstakes except for the May monthly sweepstake which ends on June 3, 2009. Sweepstakes Entries for the last monthly sweepstakes and the grand prize must be received by 3:00 p.m. PT on June 3, 2009. Limit one (1) Sweepstakes Entry per person/email address per day. Proof of submitting a Sweepstakes Entry will not be deemed by Sponsor as proof of receipt or entry into the Sweepstakes. To participate in the Instant Win Promotion, you must first fill out a registration form and click submit. To participate, look for the Instant Win Promotion message after you have successfully submitted a Sweepstakes Entry. Then, follow the online instructions to play the Instant Win Game ("Game"). As part of Game play, you will be presented with a depiction of three ice cream cones. You will be asked to click on only one (1) of the ice cream cones to see if you are a winner. If you click on an ice cream cone and receive a "Winner" message, you win an Instant Win Prize (described below), subject to verification and your full compliance with the Official Rules. All Instant Win Game play must occur by 3:00 p.m. PT on June 3, 2009. Limit one (1) Game play per person/email address per day. Sponsor’s computer is the official clock for all purposes of this Sweepstakes. Any attempted form of entry or participation in this Sweepstakes other than as described herein is void.
4. Prizes/Odds of Winning. One (1) Grand Prize: Grand Prize consists of one (1) $500.00 US Overstock.com shopping spree and one spa basket which may contain one (1) each of the following: Pevonia caviar skin products consisting of a Myoxy-Caviar Cleanser, a Lotion, a Cream, a Serum, an Eye Contour; Ligne products consisting of a Nymphea Oil Moisturizer, a Body Scrub, a Moisturizer, a Bath & Shower Gel, an Exfoliating Soap, Bath Salts, a Hand & Foot Cream; Spalasium products consisting of Vital-I-Tea, a Candle, Soaps, and a Pevonia Waffle Robe & a Body Brush from Spa-Addicts.com (Approximate Retail Value ("ARV"): $929.90 US). Total ARV of Grand Prize: $1,429.90 US. Six (6) Monthly Prizes: Each monthly prize winner will receive one (1) $100.00 US Overstock.com shopping spree and one (1) DVD or Blu-ray Disc™ movie (ARV $20.00 US each). ARV of each monthly prize: $120.00 US. Choice of DVD or Blu-ray Disc™ and actual title of the movie awarded at Sponsor’s sole discretion. Monthly prize does not include a DVD Player or a Blu-ray Disc™ player. Up to One Hundred and Eighty-Nine (189) Instant Win Prizes: Each Instant Win Prize consists of one (1) Baskin-Robbins $2.00 US gift check. If Instant Win Prize winner is a Canadian resident, a check of equal value will be awarded in US currency. Total ARV of all prizes: Up to $2,527.90 US. Odds of winning the Grand Prize depends on the total number of eligible Grand Prize Entries received. Odds of winning a monthly prize depends on the total number of eligible Sweepstakes Entries received for that particular Monthly Sweepstakes. Odds of winning an Instant Win Prize: 1:83,200. Any costs associated with accepting, redeeming and using prizes are the sole responsibility of the winners. No substitution, transfer or cash equivalent for any prize (or component of any prize), except that Sponsor, in its sole discretion, may substitute a prize (or component of a prize) of equal or greater value due to prize unavailability for any reason. Any depictions of prizes are for illustrative purposes only. All federal, state, or other taxes (if applicable) are the sole responsibility of each winner. Canadian Winners are responsible for all customs fees/import/duties or other tariffs that may be incurred with claiming/shipping of prizes. Prizes will be mailed to street addresses in the 50 states of the U.S., D.C or Canada (excluding the province of Quebec) only. Grand Prize winner will receive an IRS Form 1099 for the year in which the Grand Prize is awarded from the Sponsor for the total ARV noted in these rules. Limit one (1) Monthly Prize per person/email address for the entire Sweepstakes Period.
5. Determination of Winners: For each monthly sweepstakes, one (1) potential monthly sweepstakes prize winner will be randomly selected from among all eligible Sweepstakes Entries received for that particular monthly sweepstakes in a drawing to be held on or about two (2) weeks after the respective monthly sweepstakes end date. No eligible Sweepstakes Entries from each monthly sweepstakes (whether winning or non-winning) will be retained for subsequent monthly sweepstakes drawings. Potential Grand Prize winner will be randomly selected from all eligible Sweepstakes Entries received in a drawing to be held on or about June 17, 2009 ("Drawing Date") by Sweepstakes administrator, an independent judging organization. For the Instant Win Prize, Sponsor will randomly select 189 different specific times during the Sweepstakes Period ("Winning Instant Win Times"). The first participant who plays the Game at or after a Winning Instant Win Time, will be selected as a potential Instant Win Prize winner. If all 189 Instant Win Prizes have been awarded prior to the end of the Sweepstakes Period, a message stating such will be clearly posted on the Web Site and no additional Instant Win Prizes will be awarded. If no participant plays the Game at or after any one of the 189 Winning Instant Win Times then the Instant Win Prize(s) associated with that Winning Instant Win Time(s) will not be awarded.
6. Notification of Winners. Potential Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by phone at the phone number provided on his/her Sweepstakes entry form within approximately two (2) weeks of the Drawing Date. Each potential Monthly Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by mail (at the street address provided on that entrant’s entry form) within one (1) month of the date his/her name was randomly selected. Potential Instant Win Prize winners will be notified of their winning status immediately after playing the Instant Win Game and will receive an Instant Win Prize by mail at the address they provided on their Sweepstakes entry form. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, he/she cannot or does not comply with these Official Rules, and/or his/her prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and, for the Grand Prize and Monthly Prizes only, an alternate potential Grand Prize winner or Monthly Prize winner may be selected (at Sponsor’s sole discretion) from all eligible Sweepstakes Entries received. Depending on participation, Instant Win Prizes may not be awarded. Canadian residents must correctly answer the time based mathematical skill testing question described above at time of entry to be eligible for a prize.
7. General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively "Rules and Laws"). After notification, potential Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be required to execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), and any other documentation that the Sweepstakes administrator and/or Sponsor may require (collectively "Affidavit/Release"), within five (5) days after receipt, or potential Grand Prize winner will be disqualified, and an alternate potential Grand Prize winner will be selected from all eligible Grand Prize Entries received. By returning a completed Affidavit/Release, Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) attests to the provisions stated therein including the accuracy of the information contained therein and compliance with these Official Rules. If a winner is a resident of a jurisdiction that deems him/her to be a minor, his/her prize will be awarded in the name of his/her parent/legal guardian. Once submitted, Sweepstakes Entries become the sole property of Sponsor and will not be returned. Notwithstanding anything to the contrary in Sponsor’s privacy policy and except where prohibited by law, entry into the Sweepstakes and/or a winner’s acceptance of a prize constitutes permission of such winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, winner’s first name, last initial, city, and state/province for purposes of advertising, trade, promotion and publicity. Additionally, if an entrant chooses to opt-in to receive communications from a participating Sweepstakes Entity, his/her Entry Information will be subject to that Sweepstakes Entity’s privacy policy and terms of service (if applicable), and such entrant agrees to receive additional email communication from that particular Sweepstakes Entity. Opting in to receive communications does not improve one’s chances of winning any prize. The privacy policy for any Sweepstakes Entity participating in an opt-in will be accessible from the Sweepstakes entry form. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with the Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor, in its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes and instruct the Sweepstakes administrator to conduct any or all of the drawings and award the prize(s) from all eligible Sweepstakes Entries for a given drawing received prior to and/or after (as appropriate) the action taken by Sponsor, or award the prizes in a manner that is fair and equitable. In case of a dispute over the identity of an entrant who submitted a winning Sweepstakes Entry, the authorized account holder of the email address associated with that Sweepstakes Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Said owner must comply with these Official Rules and, at Sponsor's sole discretion, may be required to provide proof of ownership of the email account.
8. Disclaimers: Sweepstakes Entities are not responsible or liable for Sweepstakes Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for Sweepstakes Entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, incomplete, or otherwise not in compliance with these Official Rules, and all such Sweepstakes Entries will be disqualified. By entering the Sweepstakes, each entrant agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of the Sweepstakes administrator which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that the Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the Sweepstakes (including but not limited to, in the case of Canadian winners, disputes over answers to mathematical skill test questions); acceptance/possession, defects, and/or use/misuse of any prize; typographical errors in Sweepstakes promotional material; shipping delays; human error; incorrect or inaccurate transcription of Entry Information; any technical malfunctions of the telephone network; interruption or inability to access the Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of any one or more of the Sweepstakes Entities. Each entrant further agrees to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of the prize supplier or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Sponsor, or (3) by any other cause, condition or event whatsoever beyond the control of Sponsor or their parents, subsidiaries and affiliated companies. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

9. ARBITRATION / WAIVER OF INJUNCTIVE RELIEF / GOVERNING LAW: BY SUBMITTING A SWEEPSTAKES ENTRY, ENTRANTS AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES, ITS ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES COUNTY, CALIFORNIA, BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.

   Entrants further understand and agree that they shall have no right to enjoin or restrain the development, production, advertising, promotion, distribution or exploitation of the Sweepstakes, or any Sony Pictures Home Entertainment Inc. (or any of its parent companies, subsidiaries or affiliates) productions, projects or pictures.

   Entrants acknowledge that the internal substantive laws (as distinguished from the choice of law rules) of the State of California and the United States of America applicable to contracts made and performed entirely in California shall govern the validity and interpretation of these Official Rules and all other causes of action (whether sounding in contract or in tort) arising out of or relating to these Official Rules.
