All airline tickets issued in conjunction with the prize are not eligible for frequent flyer miles, and no code-share flights may be used.   2. Contest Description: This Contest begins on or about 11:00 a.m. Pacific Time (“PT”) on June 16, 2006 and ends at the entry deadline of 11:00 a.m. PT on July 7, 2006 (“Entry Period”). This Contest is a promotion in which visitors to the YouTube™ Web site located at http://www.YouTube.com (“Web Site”) will be asked to submit online an original video (no longer than 30 seconds) in .avi, .mov or .mpg format as a platform for explaining why they should be selected to be the official Sony Pictures Blogger at the 2006 Comic-Con Convention (access www.comic-con.org for more information about the convention) (“Video Blog”). Eligible Video Blogs will be judged to determine the winner who will be declared the official Sony Pictures blogger who will blog “live” at the Sony Pictures booth on the convention floor approximately four (4) times each day from July 20-23, 2006 (dates and times at Sponsor’s sole discretion).

  3. How to Enter: Entrants must be registered with the Web Site to enter this Contest. If prospective entrant is not already registered with the Web Site, entrant must access the registration form from the Web Site and provide the following information: Email Address, User Name, Password, Country (US only for this promotion), Postal Code, Gender, and Date of Birth (collectively, “Registration Information”). All required Registration Information must be completed in full. There is no fee to register. Entrants can only register with the Web Site and participate in this Contest under one (1) User Name. Once a User Name has been registered by an entrant, that User Name cannot be used by any other person for this Contest (or to register with the Web Site). Only the entrant registered under a particular email address may participate in this Contest. Once registered, participant can enter this Contest by following the online instructions to submit his/her Video Blog. Video Blogs submitted must be of the entrant only, within the guidelines posted on the Web Site, and in compliance with these Official Rules; the Web Site guidelines are made a part of and incorporated in these Official Rules and, in the event of any inconsistency between the guidelines and these Official Rules, the Official Rules shall govern. Video Blog, together with Registration Information, shall constitute an “Entry” into this Contest. Once submitted, you cannot change your Video Blog. It is the responsibility of the entrant to check if his/her her Video Blog conforms with all the guidelines stated on the Web Site and in these Official Rules. By entering, entrant (or, his/her parent or legal guardian if entrant resides in a jurisdiction that deems him/her to be a minor) agrees to have read and accepted the provisions of these Official Rules, and that he/she grants to Sponsor the right to use his/her Video Blog and (if selected the winner) Comic-Con blog(s) throughout the universe, in whole or in part, in edited, unedited or distorted form, on and in connection with the Contest, for any trade advertising or promotional purposes whatsoever, without review, approval, notification or payment from or to any person or entity, in all media (including on the Web Site) now known or hereafter discovered throughout the universe. A Video Blog that may be posted on the Web Site may differ from the Video Blog originally entered due to technical errors, problems or compatibility issues, and Sponsor shall have no liability related thereto. Entrant also represents and warrants that the Video Blog he/she submitted (a) is his/her original creation, (b) has not been copied in whole or in part from any other work, (c) to the best of his/her knowledge and belief, does not violate or infringe any copyright, trademark, privacy, publicity or other proprietary right of any person or entity, and (d) is his/her sole and exclusive property. EVEN IF A VIDEO BLOG IS SUBMITTED AT THE WEB SITE, SUCH VIDEO BLOG MAY NOT BE ELIGIBLE FOR THIS CONTEST. In addition, by submitting a Video Blog, entrant (and his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) understands and acknowledges that the Video Blog submitted may be posted on the Web Site for public viewing even if such Video Blog does NOT win the prize as described below. Entries must be received during the Contest Period. Limit one (1) Entry per person for the entire Contest. Multiple Entries in excess of this limit by the same person will be disqualified. Any attempted form of entry into this Contest other than as described herein is void. No entry by group or organization. Proof of delivery or receipt of an Entry will not be deemed by Sponsor as proof of entry into this Contest. As determined by Sponsor in its sole discretion, Video Blogs that include material that is unfit for publication or otherwise objectionable material will be disqualified. All content of Video Blogs provided by entrant must not have been previously published. Without limitation and in its sole discretion, Sponsor may disqualify any Entry that it deems to:

    a) Contain materials that are profane, disruptive, unlawful, harmful, threatening, abusive, vulgar, obscene, hateful, or racially or ethnically-motivated, or otherwise objectionable;
    b) Impersonate any person, including but not limited to, a government official or other public person;
    c) Advertise or solicit sales for any product or service;
    d) Defame or invade the privacy rights of any person, living or deceased;
    e) Infringe on any personal or proprietary right of any person or entity;
    f) Contain any trademarks, tradenames, logos, or copyrighted material of any person or entity;
    g) Contain any sound, music, or other pre-recorded material that has not been provided by the Web site, or otherwise infringe the intellectual property rights or similar rights of any person or entity;
    h) Post, transmit, or otherwise make available any personally identifying information about any person (such as phone numbers or addresses), including the entrant
    i) Contain any beverages, tobacco, drug paraphernalia, firearms, or any depiction or representation thereof; or
    j) Contain any material which would give rise to criminal or civil liability; which encourages conduct that constitutes a criminal offense; or which encourages or provides instructional information about illegal activities.

    Video Blogs which are not reasonably pertinent to the judging criteria described below as determined by Sponsor, in its sole discretion, or are otherwise in violation of these Official Rules, will be disqualified.

  4. Determination of Winner: On or about July 10, 2006, all Eligible Video Blogs will be judged by representatives of Columbia TriStar Marketing Group, Inc. (“CTMG”) in Culver City, CA based on the following criteria: 1. Originality – 10 points; 2. Creativity – 10 points; and 3. Content – 10 points (30 points maximum). The entrant whose Video Blog receives the highest point total will be declared the winner, subject to written verification of eligibility. In the event of a tie, the tied entrant who scored higher in “Originality” will be declared the winner. In the event of a further tie, the tied entrant who scored higher in “Creativity” will be declared the winner. If needed, judges will re-score the tied Video Blogs until the tie is broken. Sponsor has the right, in its sole discretion, to not select the winner based on an insufficient number of eligible Video Blogs received. CTMG reserves the right to require a writing sample from the potential winner.

Notifications: Potential winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by the Web Site’s private message system or by email by Sponsor’s representative on or about July 10, 2006. If potential winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) cannot be reached within three (3) hours of private message or email notification, if he/she is not available for travel between July 19 – 23, 2006, if he/she is found to be ineligible, and/or if he/she does not comply with these Official Rules, potential winner will be disqualified, and the entrant whose Video Blog received the next highest point total may be declared the winner at Sponsor’s sole discretion. If an entrant changes his/her contact information after he/she enters this Contest, it is his/her sole responsibility to send a (postal) mailing notice to be received by the end of the Entry Period. Such notices must be sent to: Comic-Con Blog Contest “Change of Information”, P.O. Box 11029, Burbank, CA 91510. Potential winner (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) will be required to complete, sign and have notarized, an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (“Affidavit/Release”) which will include, among other things, a representation of the Video Blogs originality, a grant to Sponsor of any and all rights of ownership and use of the Video Blog and subsequent blogs associated with Comic-Con (e.g., in whole or in part, in edited, unedited or distorted form), on and in connection with this Contest, for any trade advertising or promotional purposes whatsoever, without review, approval, notification or further payment/compensation from or to any person or entity, in all media now known or hereafter discovered throughout the universe. Affidavit/Release must be returned within two (2) days after receipt along with any other documentation that Sponsor may require, or potential winner may be disqualified and the entrant whose Video Blog received the next highest point total may be declared the winner at Sponsor’s sole discretion. Guest of winner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be required to execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that the Sponsor or other Contest Entity requires ("Guest Release") within two (2) days after receipt by potential winner. A fax copy of winner’s Affidavit/Release and his guest’s Guest Release may be requested and such fax copy will have the same force and effect as the original documents. Winner and his/her guest may be required, upon Sponsor’s request, to complete additional documentation that, among other things, grants the Sponsor the right to distribute and/or exploit winner’s Video Blog for whatever purpose Sponsor chooses without further compensation. Return of prize or prize notification as undeliverable will result in disqualification and the entrant whose Video Blog received the next highest point total may be declared the prize winner at Sponsor’s sole discretion. If winner is a resident of a jurisdiction that deems him/her a minor, then prize will be awarded in the name of or to his/her parent/legal guardian, in Sponsor’s sole discretion.


  7. Genral Conditions and Disclaimers: All federal, state or other tax liabilities arising from the Contest will be the sole responsibility of the winner. This Contest is subject to these Official Rules and all applicable federal, state, and local laws. By entering this Contest, entrants agree to waive any right to claim any ambiguity or error in the Official Rules of the Contest, or the Contest itself, and agree to be bound by these Official Rules and by all decisions of the Sponsor and/or the judges, whose decisions are binding and final in all respects. Contest Entities are not responsible or liable for multiple Entries, Entries that are entered by other than human means, or Entries that are late, incomplete, lost, misdirected, forged, damaged, destroyed, tampered with, or otherwise not in compliance with these Official Rules (whether due to the fault of the entrant, Sponsor, or any other Contest Entity), and all such Entries will be disqualified. Notwithstanding anything to the contrary in Sponsor’s privacy policies located at www.sonypictures.com/corp/privacy.html, except where prohibited by law, entry and/or winner’s (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) acceptance of prize constitutes permission of such entrant or winner for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Web Site, on-air and in advertising video, such entrant or winner’s Video Blog, name, city, state, likeness, voice, biographical information and statements (including, winner’s Comic-Con blogs) for purposes of advertising, trade, promotion and publicity. Sponsor has the right to use, assign or dispose of Registration Information, Video Blogs, and winner’ Comic-Con blogs however it sees fit without approval of or compensation to, entrant or any third party. In case of a dispute over the identity of an entrant who submitted the winning Entry, the authorized account holder of the email address associated with that Entry and registration will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said entrant must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.   8. Release From Liability of Contest Entities: By participating, entrants (if entrant is a minor in his/her jurisdiction of residence, entrant’s parent/legal guardian) agree that Contest Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with this Contest (including, but not limited to, misprinted or typographical errors on the Web Site or other Contest promotional materials), including participation, acceptance/possession and/or use or misuse, and/or defects of the prize (or component of the prize) awarded herein (including, but not limited to, cancellations and delays or any change of the air carrier(s), lodging facilities, or other entity or any other persons providing any of the components for the prize, due to reasons beyond the control of Contest Entities), even if caused by the negligence of the Contest Entities. Contest Entities are not responsible for cancellation or postponement of Comic-Con, delays or cancellations of airline flights or any missed flight by the winner and shall not incur any liability resulting from such cancellation/postponement. Entrants further agree that the Contest Entities are not responsible or liable for any injury or damage to an entrant’s or third person’s computer and/or its contents, related to or resulting from any part of this Contest. Contest Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of a prize supplier or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Contest Entities, or (3) by any other cause, condition or event whatsoever beyond the control of Contest Entities or their parents, subsidiaries and affiliated companies. Entrants agree to release all rights to bring any claim, action, or proceeding against the Contest Entities. Comic-Con is not affiliated with any of the Contest Entities and has in no way endorsed or sponsored this Contest or any product/service of the Contest Entities.


  9. GOVERNING LAW, JURISDICTION, ARBITRATION: Any controversy or claim arising out of or relating to (i) the Contest, (ii) the awarding or redemption of the prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation shall be governed by and construed in accordance with the substantive laws of the State of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability or interpretation shall be submitted to final and binding arbitration, to be held in Los Angeles County, California, before a single arbitrator, in accordance with California Code of Civil Procedure §§ 1280 et seq. The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute. The arbitration shall be a confidential proceeding, closed to the general public. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator’s award is based. The parties will share equally in payment of the arbitrator’s fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys’ fees and other expenses to the same extent as if the matter were being heard in court). Entrant agrees that his/her claim will be resolved individually, exclusively by arbitration, without resort to any form of class action. Entrant further agrees that any claim/judgment/award in such arbitration shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Contest but in no event attorneys' fees; and, under no circumstances, will an entrant be entitled to awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or increased. Should any term of this Section be deemed void, unenforceable or contrary to law, such term shall, but only to the extent necessary to bring this Section within the requirements of law, be deemed to be severed from the other terms of these Official Rules, and the remainder of these Official Rules shall be given effect as if it had not included the severed term herein.


    THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
