  1. Contest Overview; Contest Entities: The Nick & Norah’s Infinite Playlist Virtual Book Club Contest (the “Contest”) is sponsored by Columbia TriStar Marketing Group, Inc. (“Sponsor”). The Contest is promoting the movie NICK & NORA’S INFINITE PLAYLIST (the “Picture”) and consists of a skill and time-based competition in which prospective individuals who are permanent legal residents of the 50 states of the United States of America and the District of Columbia, and 13 years of age or older as of time of entry (the “Contestants”), demonstrate their skill in organizing virtual “Nick & Norah” book clubs (“Clubs”) and encouraging new Contestants to join their Clubs, and exhibiting their knowledge of the book Nick & Norah’s Infinite Playlist (the “Book”) by answering multiple choice questions related to the content, events, and characters from the Book in a 10-question quiz immediately following Contest registration (“Initial Quiz”) and in a new 5-question quiz each week throughout the Contest Period (each such weekly quiz referred to as a “Weekly Quiz”). Prizes (or component parts thereof) are awarded to all eligible members of a winning Club based on the number of “points” obtained by such Club as described with more specificity below. Contestants score points for their particular Club as follows:
    1. by “organizing” a Club and registering as the “Book Club Organizer” of the Club (one point would be scored for the Book Club Organizer’s registration);
    2. by being invited by a Book Club Organizer or Book Club Member to join his/her Club, and registering as a member of the Club (“Book Club Member”) (one point would be scored for the new Book Club Member’s registration);
    3. by recruiting new individuals to join their Club by registering as Book Club Members (one point would be scored for each new Book Club Member’s registration); and/or
    4. as a Book Club Organizer or Book Club Member, by correctly answering one or more of any of the Quizzes’ multiple choice questions (one point would be scored for each correct answer, provided that all of the questions for a respective Quiz are answered (correctly or not) in one single, uninterrupted online session).
    The skills involved in this Contest include recruiting skills, knowledge of the Book, and the ability to select Book Club Members who also possess knowledge of the Book. The Contest begins at 3:00:00 p.m. Pacific Time (“PT”) on August 1, 2008, and ends at 11:59:59 p.m. PT on October 13, 2008, such period referred to as the “Contest Period.” Sponsor’s computer, the official Contest timekeeping device, will determine all relevant dates and times during the Contest Period. PARTICIPATION IN THIS CONTEST IS SUBJECT AT ALL TIMES TO COMPLIANCE WITH THESE OFFICIAL RULES AND WITH ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS. Employees, officers, and directors of Sponsor and/or any of its affiliates, Enteractive Solutions Group Inc. (“Contest Administrator”), and any other individual or entity associated with the development or administration of this Contest or with supplying or fulfilling the prizes to be awarded in this Contest (all of the foregoing collectively referred to as, the “Contest Entities”), as well as members of such employees’, officers’ or directors’ immediate families (spouses, children, siblings, parents) or households (whether or not related), are not eligible to participate in the Contest.
  2. Eligibility: To be deemed eligible to participate in this Contest and, if determined by Sponsor to be an eligible member of a winning Club (either as a Book Club Member or Book Club Organizer), to receive the applicable prize(s), in addition to the residency, age, and family/household restrictions set forth above, each Contestant must fulfill/satisfy/comply with all the other requirements stated in these Official Rules at his/her time of entry (except for the completion of an Affidavit/Release by the Book Club Organizer of the Grand Prize winning Club which occurs after the Contest Period, as described in Section 5 below) and at all stages of his/her participation in this Contest and/or his/her use of any prize awarded hereunder.
  3. How to Enter: To enter the Contest, go to http://www.sonypictures.com/movies/nickandnorah/contest/index.php (the “Web Site”). Then, follow the online instructions to register as a Book Club Organizer or Book Club Member. EACH CONTESTANT MUST REMEMBER THAT HE/SHE CANNOT PARTICIPATE IN THIS CONTEST AS A BOOK CLUB MEMBER UNLESS HE/SHE HAS BEEN INVITED TO DO SO BY A BOOK CLUB ORGANIZER OR ANOTHER BOOK CLUB MEMBER. EACH CONTESTANT CAN ONLY PARTICIPATE IN THIS CONTEST IN ONE (1) CLUB (EITHER AS A BOOK CLUB ORGANIZER OR BOOK CLUB MEMBER – CONTESTANTS CANNOT BE BOTH). ONCE A CONTESTANT REGISTERS AS A BOOK CLUB ORGANIZER OR JOINS A CLUB AS A BOOK CLUB MEMBER, HE/SHE CANNOT PARTICIPATE IN ANOTHER CLUB.
    1. Book Club Organizer: To register as a Book Club Organizer, a prospective Book Club Organizer must fill out the Book Club Organizer registration form. Information required on the Book Club Organizer Contest registration form consists of prospective Book Club Organizer’s Email Address, First Name, Last Name, Date of Birth, Street Address (no P.O. Boxes), City, State, Zip Code, Daytime Phone Number (with area code), and Gender (collectively, “Registration Information”). Book Club Organizer’s Club will be “organized” and acquire one (1) point after the Book Club Organizer successfully submits his/her Registration Information. Immediately after registering, each Book Club Organizer will receive a confirmation message stating that he/she has organized a Club. Once a Book Club Organizer receives that message, he/she will be encouraged to score more points for his/her Club by correctly answering one or more of the multiple choice questions in the Initial Quiz. The Initial Quiz is only available immediately after a Book Club Organizer receives the confirmation message. A Book Club Organizer’s Club will receive one point for each Initial Quiz question he/she answered correctly, as determined by Sponsor in its sole discretion, provided that he/she completes the entire Initial Quiz in one online session. If a Book Club Organizer chooses not to take the Initial Quiz, quits the Initial Quiz midstream, or exits the Web Site prior to responding to all the respective questions for the Initial Quiz for any reason, he/she will not have the opportunity to go back to the Initial Quiz later or do all or any part of the Initial Quiz again and he/she will receive no points for the Initial Quiz for his/her Club, even if he/she correctly answered any one or more questions before he/she abandoned the Initial Quiz. A Book Club Organizer can score more points for his/her Club by returning to the Web Site to complete Weekly Quizzes which will be posted the Tuesday of each week (starting August 12, 2008) during the Contest Period (maximum 5 points for each of the nine (9) Weekly Quizzes). If a Book Club Organizer organizes a Club after any of these Weekly Quizzes have been released he/she will have an opportunity to complete the earlier released Weekly Quizzes. If a Book Club Organizer chooses to take any Quiz, he/she will be directed to answer each Quiz question (from the four (4) possible multiple choice responses provided for each Quiz question). If a Book Club Organizer answered any Quiz question incorrectly, he/she will not be given another chance to answer correctly that same question and he/she will not be told the correct answer. Only after a Book Club Organizer completes the respective Quiz will he/she be told of the total number of points he/she scored for his/her Club. In addition, a Book Club Organizer can score more points for his/her Club by recruiting Book Club Members among his/her friends. If a Book Club Organizer is interested in recruiting new Book Club Members for his/her Club, he/she must provide to his/her friends the unique URL or 6-digit Club I.D. (“Club I.D.”) assigned to his/her Club so that they can also join his/her Club. Individuals that a Book Club Organizer recruits for his/her Club must be personally known to him/her and be individuals he/she sincerely believes might be interested in participating in this Contest and his/her Club. Book Club Organizers must NOT contact individuals unknown to them as they may perceive their contact as unwanted and impinging upon their privacy. If Sponsor or Contest Administrator determines that a Book Club Organizer has contacted or attempted to contact individuals not known to him/her or that he/she may be using this Contest as a means of annoying, harassing, abusing, bothering, threatening or badgering any individual, the Book Club Organizer and his/her Club will be disqualified and Sponsor may take all other measures deemed necessary, as determined by Sponsor in its sole discretion.
    2. Book Club Member: In order to register as a Book Club Member, a prospective Book Club Member must have been given a unique URL or Club I.D. from a Book Club Organizer or another Book Club Member. Note: There is a limit of 500 registered members to a Club (one Book Club Organizer and 499 Book Club Members). If, at the time a prospective Book Club Member wishes to join a Club, there are already 500 registered members in the Club, he/she will not be able to join that Club. To register as a Book Club Member, fill out the Contest registration form for Book Club Member participation. A Book Club Member can also access the Book Club Member Contest registration form by using the unique URL or Club I.D. provided to him/her by the Book Club Organizer or another Book Club Member who recruited him/her. Information required on the Book Club Member Contest registration form consists of prospective Book Club Member’s Registration Information and the Club I.D. provided by the Book Club Organizer or Book Club Member who recruited him/her (see Section 3.A) above). A Book Club Member’s Club will acquire one (1) point after he/she has successfully submits his/her Registration Information. Immediately after registering, a Book Club Member will receive a confirmation message stating that he/she has joined the Club he/she designated on his/her registration. Once a Book Club Member receives that message, he/she will be encouraged to score more points for his/her Club by correctly answering one or more of the multiple choice questions in various Quizzes (see Section 3.A above for Quiz details which are the same for all Contestants (whether Book Club Members or Book Club Organizers). In addition, a Book Club Member can score more points for his/her Club by recruiting new Book Club Members among his/her friends. If a Book Club Member is interested in recruiting new Book Club Members for his/her Club, he/she must provide to his/her friends the unique URL or Club I.D. assigned to his/her Club so that they can also join his/her Club. Individuals that a Book Club Member recruits for his/her Club must be personally known to him/her and be individuals he/she sincerely believes might be interested in participating in this Contest and his/her Club. Book Club Members must NOT contact individuals unknown to them as they may perceive their contact as unwanted and impinging upon their privacy. If Sponsor or Contest Administrator determines that a Book Club Member has contacted or attempted to contact individuals not known to him/her or that he/she may be using this Contest as a means of annoying, harassing, abusing, bothering, threatening or badgering any individual, the Book Club Member will be disqualified and Sponsor may take all other measures deemed necessary, as determined by Sponsor in its sole discretion.
    Once an email address has been used by a Contestant to register for the Contest, that email address cannot be used by any other individual to register for the Contest. Only the Contestant registered under a particular email address may participate in the Contest. All required Registration Information for Book Club Organizers and Book Club Members must be completed in full. Limit one Contest registration and one attempted completion of each Weekly Quiz per individual for the entire Contest. Contestants who are found to have registered more than once or have attempted to complete more than once the Initial Quiz or any of the Weekly Quizzes will be disqualified from the Contest and all points of such disqualified Contestants (i.e., the points associated with their registrations and their Quizzes) will be deducted from the applicable Club’s total. Proof of submitting any Registration Information will not be deemed by Sponsor as proof of receipt or entry into this Contest. Any attempted form of participation in this Contest other than as described herein is void and may result in disqualification of Contestant that Sponsor suspects has engaged in same (and deduction from Club(s) of points associated with such disqualified Contestant).
  4. Determination of Winners; Prizes: There are five (5) types of winners and prize levels: Grand Prize winner/Grand Prize; 100-Point Prize Winner and 100-Point Prize; 200-Point Prize Winner and 200-Point Prize; 300-Point Prize Winner and 300-Point Prize; and 500-Point Prize Winner and 500-Point Prize.
    1. One (1) Grand Prize. The Club with the highest point total at the end of the Contest Period, as determined by Sponsor, shall be deemed the Grand Prize winner. In the event of a tie to determine which Club won the Grand Prize, the tying Club which has the highest average point score amongst that particular Club’s members (as per Sponsor’s records) will be declared the Grand Prize winning Club. The Grand Prize has two components: the prizing awarded to the Book Club Organizer and the prizing awarded to each of the Book Club Members of the Grand Prize winning Club. Each Book Club Member of the Grand Prize winning Club, as per Sponsor’s records, will each receive: one (1) eBook Store $10 Code; one (1) $10.00 Guy and Eva E-Gift Card (ARV: $10.00); and one (1) promotional Picture-themed wallpaper download. ARV of portion of the Grand Prize awarded to each of the Club’s Book Club Members: $20.00. The total ARV of the combined components of the Grand Prize depends on the total number of members (Book Club Members, plus the Book Club Organizer) in the Grand Prize winning Club. There is no monetary value assigned to the promotional wallpaper download.
    2. One (1) 100-Point Prize. The Club first (in time) to reach 100 points, as determined by Sponsor, shall be deemed the 100-Point Prize winning Club. In the event of a tie to determine which Club won the 100-Point Prize, the tying Club which has the highest average point score amongst that particular Club’s members (as per Sponsor’s records) will be declared the 100-Point Prize winning Club. Book Club Organizer and each Book Club Member of the 100-Point Prize winning Club, as per Sponsor’s records, will each receive: one (1) Dickies Eisenhower Jacket (ARV $32.99); one (1) copy of Nick & Norah's Infinite Playlist Movie Tie-In Book signed by the authors (ARV: $7.99); and one (1) Picture-themed Gumball Machine (ARV: $10.00). ARV of 100-Point Prize for each member of the Club: $50.98. The Book Club Organizer and each Book Club Member of the 100-Point Prize winning Club at the time the Club reaches the 100 point-level as determined by Sponsor, will receive this 100-Point Prize. Contestants who register as Book Club Members after their Club won the 100-Point Prize will not be entitled to receive the 100-Point Prize. The total ARV of the 100-Point Prize depends on the total number of members (Book Club Members, plus the Book Club Organizer) eligible to receive the 100-Point Prize in accordance with these Official Rules.
    3. One (1) 200-Point Prize. The Club first (in time) to reach 200 points, as determined by Sponsor, shall be deemed the 200-Point Prize winning Club. In the event of a tie to determine which Club won the 200-Point Prize, the tying Club which has the highest average point score amongst that particular Club’s members (as per Sponsor’s records) will be declared the 200-Point Prize winning Club. Book Club Organizer and each Book Club Member of the 200-Point Prize winning Club, as per Sponsor’s records, will each receive: one (1) copy of “Naomi & Ely’s No Kiss List” book (ARV: $8.99); one (1) pair of Fox Good Times Knee High Socks (ARV: $10); two (2) $2.00 Baskin Robbins Gift Checks. ARV of 200-Point Prize for each member of the Club: $22.99. The Book Club Organizer and each Book Club Member of the 200-Point Prize winning Club at the time the Club reaches the 200 point-level as determined by Sponsor, will receive this 200-Point Prize. Contestants who register as Book Club Members after their Club won the 200-Point Prize will not be entitled to receive the 200-Point Prize. The total ARV of the 200-Point Prize depends on the total number of members (Book Club Members, plus the Book Club Organizer) eligible to receive the 200-Point Prize in accordance with these Official Rules.
    4. One (1) 300-Point Prize. The Club first (in time) to reach 300 points, as determined by Sponsor, shall be deemed the 300-Point Prize winning Club. In the event of a tie to determine which Club won the 300-Point Prize, the tying Club which has the highest average point score amongst that particular Club’s members (as per Sponsor’s records) will be declared the 300-Point Prize winning Club. Book Club Organizer and each Book Club Member of the 300-Point Prize winning Club, as per Sponsor’s records, will each receive: one (1) Urban Decay Loose Pigment eyeshadow in Rockstar (ARV: $20.00). ARV of 300-Point Prize for each member of the Club: $20.00. The Book Club Organizer and each Book Club Member of the 300-Point Prize winning Club at the time the Club reaches the 300 point-level as determined by Sponsor, will receive this 300-Point Prize. Contestants who register as Book Club Members after their Club won the 300-Point Prize will not be entitled to receive the 300-Point Prize. The total ARV of the 300-Point Prize depends on the total number of members (Book Club Members, plus the Book Club Organizer) eligible to receive the 300-Point Prize in accordance with these Official Rules.
    5. One (1) 500-Point Prize. The Club first (in time) to reach 500 points, as determined by Sponsor, shall be deemed the 500-Point Prize winning Club. In the event of a tie to determine which Club won the 500-Point Prize, the tying Club which has the highest average point score amongst that particular Club’s members (as per Sponsor’s records) will be declared the 500-Point Prize winning Club. Book Club Organizer and each Book Club Member of the 500-Point Prize winning Club, as per Sponsor’s records, will each receive: one (1) $10 TEGO Skin E-Gift card from MyTego.com plus $3 in prepaid shipping (ARV: $13.00) (ARV: $13.00). ARV of 500-Point Prize for each member of the Club: $13.00. The Book Club Organizer and each Book Club Member of the 500-Point Prize winning Club at the time the Club reaches the 500 point-level as determined by Sponsor, will receive this 500-Point Prize. Contestants who register as Book Club Members after their Club won the 500-Point Prize will not be entitled to receive the 500-Point Prize. The total ARV of the 500-Point Prize depends on the total number of members (Book Club Members, plus Book Club Organizer) eligible to receive the 500-Point Prize in accordance with these Official Rules.
    The total ARV of all prizes depends on the total number of eligible Book Club Members for each prize level in accordance with these Official Rules. Gift Card/Check prizes and the eBook Store $10 Codes are subject to stated terms and conditions of issuer. For clothing prizes, actual size and color, if applicable, will be determined by Sponsor at its sole discretion. Any costs or accessories (or other equipment) associated with accepting, redeeming and/or using any prize which is not specifically mentioned herein as being included, is the sole responsibility of the Contestant receiving the prize or component thereof. No substitution, transfer, or cash equivalent for any prize, except that Sponsor, in its sole discretion, may substitute a prize/prize component with a prize/prize component of equal value, due to unavailability of a prize or prize component for any reason. Any depictions of prizes are for illustrative purposes only. All federal, state, or other taxes (if applicable) including, without limitation, income taxes, are the sole responsibility of the respective Contestant receiving the prize or component thereof. As applicable and unless otherwise specified, prizes and prize notifications/documents will be mailed/shipped to street addresses within the 50 states of the U.S. or D.C. only (street addresses as provided by Contestants on their Contest registrations). The Book Club Organizer of the Grand Prize winning Club will receive an IRS form 1099 from the Contest Administrator for the total ARV of all prizes won by him or her for the calendar year such prize(s) were won. If won by a minor in his/her jurisdiction of residence, prize(s) may be awarded to or in the name of his/her parent or legal guardian, as determined by Sponsor in its sole discretion.
  5. Notification of Winners: On or about October 20, 2008, the Contest Administrator will attempt to contact by telephone the Book Club Organizer of the Grand Prize winning Club (at the telephone number provided by such Book Club Organizer on his/her Contest registration). During the notification call, Contest Administrator will notify such Book Club Organizer (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) that his/her Club is the potential Grand Prize winner and provide him/her information regarding the documentation that Contest Administrator will send to him/her for execution (including, without limitation, an Affidavit of Eligibility, a Liability Release, and, where legal, a Publicity Release, such documentation referred to as the “Documentation,” which Documentation the Book Club Organizer of the Grand Prize winning Club (or his/her parent or legal guardian if the Book Club Organizer is a minor in the jurisdiction in which he or she lives) will have to execute and return to Contest Administrator for receipt by Contest Administrator within five (5) business days from the date of notification. If any Contestant of a prize winning Club cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, he/she cannot or does not comply with these Official Rules, his/her contact/mailing information is inaccurate or incomplete, and/or his/her prize is returned as undeliverable, such Contestant will be disqualified and his/her prize forfeited (if the Book Club Organizer of the Grand Prize winning Club is disqualified for any reason, the Grand Prize will be awarded to the Club/Book Club Organizer whose Club has a tying point total with the next highest average point score amongst that particular Club’s members or the next highest point total if no tie-breaker, as per Sponsor’s records, subject to the new selectee’s verification of eligibility and compliance with these Official Rules.) If the Grand Prize winning Club is disqualified, the Club whose tying point total with the next highest average point score amongst that particular Club’s members or the next highest point total if no tie-breaker, as per Sponsor’s records, subject to the new selectee’s verification of eligibility and compliance with these Official Rules. All other eligible Contestants from each prize winning Club (or, if residents of jurisdictions that deem them to be minors, their parents or legal guardians) will be notified upon delivery of their prize to their street address as provided on their Contest registration form within approximately one (1) month of the conclusion of this Contest. If a winning Club is disqualified for the 500-Point Prize, 300-Point Prize, 200-Point Prize and/or 100-Point Prize prizes, the Club whose tying point total with the next highest average point score amongst that particular Club’s members or the next fastest to reach the respective point total if no tie-breaker, as per Sponsor’s records, will be declared the winning Club of such prize subject to the new selectee’s verification of eligibility and compliance with these Official Rules.
  6. General Conditions: This Contest is subject to these Official Rules and all federal, state and local laws and regulations. Once submitted, any Registration Information will not be returned. Except where prohibited by law, and subject to Sponsor’s privacy policy accessible from the Web Site, registration and/or a Contestant’s acceptance of a prize constitutes permission of such Contestant (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, such Contestant’s first name, last initial, city, and state, for purposes of advertising, marketing, promotion and publicity, to the full extent permitted by law. Sponsor reserves the right, in its sole discretion, to disqualify any Contestant or Club it finds to be: (i) tampering with, as applicable, the entry process or otherwise with the operation of this Contest (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device to recruit individuals or otherwise participate in the Contest and/or the posting or distribution of any Quiz questions or answers), the Web Site, or any web page or web banner ad related to this Contest; (ii) acting in violation of the Official Rules; (iii) acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, harass, harm, mislead, or defraud any other individual or entity in conjunction with recruitment for participation in this Contest or otherwise; (iv) acting in any manner that could be perceived by a reasonable person as giving or threatening to give rise to criminal or civil liability, or encouraging conduct that might constitute a criminal offense, or encouraging or providing instructional information about illegal activities; or (v) otherwise in violation of law. Any individual or Club attempting to defraud any of the Contest Entities or in any way tamper with this Contest will be ineligible to receive prize(s) and Sponsor will seek all remedies available to it, including, if appropriate, filing appropriate complaints with legal authorities. If, for any reason, this Contest (or any part thereof) is not capable of running as planned, Sponsor, in its sole discretion, reserves the right to cancel, suspend or modify this Contest and award the prizes in a manner that is fair and equitable and in accordance with the spirit of these Official Rules as determined by Sponsor in its sole discretion. In case of a dispute over the identity of a Contestant, at Sponsor’s sole discretion, the authorized account holder of the email address associated with that Contestant’s Contest registration form will be deemed the Contestant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.
  7. Limitation of Liability: Contest Entities are not responsible or liable for any Registration Information that is entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated registration limit, or for any Registration Information or any Quiz response that is late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, altered, or otherwise not in compliance with these Official Rules, whether caused by any of the equipment or programming associated with or utilized in this Contest, or by any technical error/malfunction which may occur in the processing of any such information in this Contest, or for failure to receive any Registration Information or any Quiz responses due to transmission failures or technical failures of any kind and all such information (if received) will be disqualified and, if applicable, no corresponding points scored. By entering this Contest, each Contestant (and/or his/her parent/legal guardian if the Contestant is a minor) agrees and acknowledges: (i) to be bound by these Official Rules, as well as the decisions of the Sponsor and by all applicable laws and all decisions of the Sponsor and Contest Administrator which shall be binding and final in all respects; (ii) to waive any rights to claim ambiguity with respect to the Official Rules or any promotional materials regarding the Contest; (iii) to waive all of his/her rights to bring any claim, action, or proceeding against any of the Contest Entities; and (iv) to release, indemnify, and hold harmless each of the Contest Entities and each of their respective officers, directors, employees, agents and representatives, from any liability (including, but not limited to, liability for any property loss, damage, personal injury, bodily injury, death, loss, expense, accident, delay, inconvenience or irregularity), costs and expenses (including without limitation, reasonable outside attorney’s fees) that may arise in connection with: (a) the Contestant’s participation or inability to participate in the Contest, (b) typographical errors in the Official Rules or any Contest promotional materials, (c) acceptance or possession (including prizes lost by winners), defects in, use, misuse or inability to use any prize (or any component thereof); (d) any change by any company or any other individual providing any of the components of a prize due to reasons beyond any of the Contest Entities’ control or as otherwise permitted hereunder, (e) any interruptions in or postponement, cancellation, or modification of the Contest (or any parts thereof), (f) human error, including, but not limited to inaccurate or incomplete contact information provided by Contestants, (g) incorrect or inaccurate transcription of any Contest-related information, (h) any technical malfunctions or unavailability of the Web Site or any telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by any of the Contest Entities or by any Contestant, (i) interruption or inability to access the Contest, any Contest-related web pages, or any online service via the internet due to hardware or software compatibility problems, (j) any damage to Contestant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Contest, (k) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (l) any wrongful, negligent, or unauthorized act or omissions on the part of any of the Contest Entities, or any of their agents or employees, or (m) any other cause, condition or event whatsoever beyond the control of any one or more of the Contest Entities. Each Contestant hereby acknowledges that the Contest Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to, as applicable, any prize or component thereof.
  8. ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW: BY PARTICIPATING IN THIS CONTEST, CONTESTANTS AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION, OR OTHERWISE ARISING OUT OF OR RELATING TO ANY CONTESTANT’S PARTICIPATION IN THE CONTEST, SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA, BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.

    CONTESTANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE CONTEST, THE PICTURE, OR ANY OTHER MOVIE, PRODUCTION OR PROJECT OF SPONSOR OR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.

    CONTESTANTS ACKNOWLEDGE THAT THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA SHALL GOVERN THE VALIDITY, INTERPRETATION AND ENFORCEMENT OF THESE OFFICIAL RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES OR THE PARTICIPATION OF ANY CONTESTANT IN THIS CONTEST.
