1.How to Enter: The NEXTEL/SWAT Sweepstakes Challenge Promotion (“Sweepstakes”) begins at 3:00 p.m. PDT on July 9, 2003 and ends at 12:00 p.m. PDT on September 1, 2003 (“Sweepstakes Period”). For purposes of this Sweepstakes, all times refer to Pacific Daylight Time. There are six (6) methods of entry: Online Entry; Bonus Online Entry; Alternate Bonus Entry; Tour Box Entry; Purchase Entry; and Alternate Method of Entry. 1. Online Entry: To enter online, access the SWAT Nextel Web site located at www.sonypictures.com/Nextel or www.nextel.com/swat during the Sweepstakes Period and click on the Sweepstakes icon or text link which will take you to the Sweepstakes home page (“Web Site”). Then, follow the online instructions to complete and submit a Sweepstakes entry form (“Online Entry”). Required information on the entry form consists of your Email Address, First Name, Last Name, Address, City, State, Zip, Gender, Date of Birth, Mobile Number (with area code), and Mobile Carrier (collectively “Entry Information”). Limit one (1) Online Entry per person per email address per day. Upon your submission of an Online Entry, you will have the opportunity to play the NEXTEL/S.W.A.T. SWEEPSTAKES CHALLENGE Game (“Game”) and earn Bonus Online Entries. 2. Bonus Online Entry: To earn additional entries into the Sweepstakes, you can play the Game online and refer up to five (5) friends to the Sweepstakes (“Bonus Online Entries”). To participate in the online Game, follow the Game play instructions after you submitted your Online Entry or, if you haven’t already submitted an Online Entry, access the Web Site and follow the Game play instructions. You will be asked five (5) SWAT Game related questions. You need not correctly answer a SWAT Game related question to receive Bonus Online Entries. Upon submission of your five (5) answers to the questions, you will be asked to refer up to five (5) friends to the Sweepstakes or, if you haven’t already submitted an Online Entry, complete a Sweepstakes entry form and then refer up to five (5) friends to the Sweepstakes. You will receive Bonus Online Entries by accessing and forwarding, via email, the Game entry page or Game entry page textlink to up to five (5) of your friends ("Recipients") who must also be legal U.S. residents (or D.C. residents), who are at least 18 years of age as of July 9, 2003, and who are not employees and/or members of their immediate families of Sweepstakes Entities (defined below). Recipients must be persons you believe would be interested in receiving such information. For each eligible Recipient email address to whom the Game entry page is forwarded, you will receive one (1) entry into the Sweepstakes. You can only ENTER EMAIL ADDRESSES AND FORWARD THE gAME entry page to FIVE (5) RECIPIENTS at a time. A MAXIMUM OF FIVE (5) BONUS ONLINE ENTRIES CAN BE EARNED EACH DAY DURING THE SWEEPSTAKES PERIOD). Use of automated or programmed mechanisms to automatically send emails are not allowed and any Bonus Online Entries derived there from will be disqualified. Each email sent to a Recipient must be to a current, unique and valid email address owned/used by an eligible Recipient, other than entrant, as described above. An entrant may only forward the Game entry page once to a given email address during the Sweepstakes Period. Online Entries of any kind must be received by 12:00 p.m. PDT on September 1, 2003. Multiple emails to any one (1) email address will not result in any Bonus Entries. Online entries of any kind by the same person in excess of the limits stated herein will be disqualified. 3. Alternate Bonus Entry: You can also earn additional entries into the Sweepstakes by legibly hand-printing your Entry Information (email address, mobile phone number, and gender optional) on a standard size postcard and then mailing, with proper postage affixed, to: NEXTEL/SWAT Sweepstakes Challenge Promotion, Alternate Bonus Entry, P.O. Box 11415, Burbank, CA 91510 (“Alternate Bonus Entry”). For each eligible Alternate Bonus Entry you submit, you will receive five (5) entries into the Sweepstakes. Alternate Bonus Entries must be postmarked by September 2, 2003 and received by September 5, 2003. Limit one (1) Alternate Bonus Entry (generating five (5) entries into the Sweepstakes) per person per day during the Sweepstakes Period. 4. Tour Box Entry: Watch for the Nextel SWAT Mobile Truck Tour in your area to obtain an official entry form during the Sweepstakes Period. The SWAT Mobile Truck Tour is scheduled to stop in Chicago, Illinois July 9, 2003 – July 15, 2003; San Francisco, California July 17, 2003 – July 20, 2003; Vallejo, California July 22, 2003 – July 23, 2003; Las Vegas, Nevada July 25, 2003 – July27, 2003; Los Angeles, California July 29, 2003 – August 7, 2003; and San Diego, California August 9, 2003 – August 11, 2003. Tour stops and dates subject to change without notice. To enter, legibly handprint your Entry Information (email address, mobile phone number, and gender optional) and answer to the SWAT question on the official entry form. Answer to SWAT question need not be correct. Then, to receive one (1) entry into the Sweepstakes, deposit it in the specially marked promotional tour box located at the event or mail it inside of a postage paid, business size (#10) envelope to: NEXTEL/SWAT Sweepstakes Challenge Promotion, Tour Box Entry, P.O. Box 10877, Burbank, CA 91510 (“Tour Box Entry”). One Tour Box Entry per envelope. One (1) Tour Box Entry per tour stop. Tour Box Entries deposited at tour locations must be deposited by scheduled/posted end times. One entry form/Tour Box Entry per envelope. If Tour Box Entries are mailed to the above address, each Tour Box Entry must be mailed separately, postmarked by September 2, 2003 and received by September 5, 2003. 5. Purchase Entry: For each new phone purchase and activated on a Nextel rate plan and obtained through www.nextel.com, 1-800-nextel9, or 1-800-nextel6, you will automatically receive one (1) entry into the Sweepstakes (“Purchase Entry”). Qualified purchases must be made between 3:00 p.m. PDT on July 9, 2003 and 12:00 p.m. PDT on September 1, 2003 in order to be eligible for Sweepstakes. 6. Alternate Method of Entry (“AMOE”): To enter without answering trivia questions, participating in the Nextel SWAT Mobile Truck Tour, or making a purchase, legibly hand-print Entry Information (email address, mobile phone number, and gender optional) on a postcard, and mail with proper postage affixed, to: NEXTEL/SWAT Sweepstakes Challenge Promotion, Alternate Method of Entry, P.O. Box 10877, Burbank, CA 91510 (“AMOE Entry”). Each AMOE Entry must be mailed separately, postmarked by September 2, 2003, and received by September 5, 2003. No metered mail accepted. For each eligible AMOE Entry, you will receive five (5) entries into the Sweepstakes. For all methods of entry (collectively “Entries”), all Entry Information must be completed in full in order for Entry to be eligible. Proof of delivery or receipt of Entry will not be deemed by Hilltop New Media, Inc. (“Sponsor”) as proof of entry. No copies, facsimiles or reproductions of an Entry or entry form will be accepted. Any attempted form of entry other than as described herein is void.

2.Eligibility: Sweepstakes is only open to legal residents of the fifty (50) states of the United States (and the District of Columbia) who are physically located and residing therein (excludes Guam, Puerto Rico, and all other U.S. territories and possessions) and who are 18 years of age or older as of July 9, 2003. Employees of Sponsor, Sony Pictures Entertainment Inc., Sony Corporation of America Inc., Sony Electronics, General Motors Corporation (“GM”), Nextel Communications, Inc., Octagon, Inc., Skycastle Entertainment, Inc., Sullivan Compliance Company (“Sweepstakes Administrator”), their advertising or promotion agencies, those involved in the production, development, implementation or handling of Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, affiliates, licensees, service providers, prize suppliers, car dealership personnel, any other person or entity associated with Sweepstakes (collectively “Sweepstakes Entities”) and/or members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether or not related are ineligible to enter Sweepstakes.

3.Prizes/Odds of Winning: One (1) Grand Prize (“GP”): A GP prize package consisting of a 2003 GM Suburban Half-Ton LS 4WD, CC15906 Wagon with 4 doors (standard package) (Manufacturers Suggested Retail Price: $40,665), one (1) Nextel i95cl phone with one-year of service on a Nextel rate plan; and one (1) autographed memorabilia package from the movie SWAT consisting of items selected by Sponsor in its sole discretion at the time of award (ARV $500). Total ARV of GP: $42,715. One-year Nextel service will be awarded as a [$100]/month credit for twelve months to the GP winner’s account. GP winner will be subject to terms of a Nextel subscriber agreement and credit approval. Actual ARV of autographed item does not represent the actual resale value of the item, which depends on market conditions. Any applicable state, federal and local taxes, including, without limitation, excise tax (including sales tax), E.P.A. tax or fee, and all registration, title, license, insurance, dealer prep, additional equipment and other expenses not specifically set forth herein are the sole responsibility of the GP winner. The GP winner will be solely responsible for insuring and registering the GP. Any vehicle options above the package chosen by Sponsor will be the GP winner’s sole responsibility. GP will be delivered to the GP winner at a participating General Motors dealership near the GP winners’ residence, designated by the Sponsor or an affiliate of Sponsor. In order to accept the vehicle, GP winner is required to personally retrieve the vehicle and must possess and present adequate personal identification, including a valid U.S. driver’s license, and evidence of legally required insurance. Allow 10 – 12 weeks from date affidavit is verified for delivery of the vehicle portion of the GP. Sponsor not responsible for delays in delivery. Once GP winner takes possession of GP, he/she bears risk of damage to vehicle and vehicle is forfeited if not picked up within thirty (30) days after delivery to the GM dealership. GP winner agrees that neither Sponsor nor General Motors have made, nor are either responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the vehicle, including but not limited to its quality, mechanical condition or fitness, except the vehicle does include General Motor’s standard limited warranty as set forth in the Warranty Guide. Vehicle shown in marketing materials may not be actual vehicle delivered. Vehicle may vary due to model changes, availability or other circumstances. All commercially reasonable efforts shall be used to provide the same model and year as shown or at least a vehicle having equal value. Three (3) First Prizes (“FP”): One (1) Nextel i95cl phone with one-year of service on a Nextel rate plan and one (1) official SWAT uniform worn in the movie SWAT, consisting of pants, t-shirt, jacket and hat. ARV of each FP: $1,850. One-year service will be awarded as a [$100]/month credit for twelve months to the FP winner’s account. FP winner will be subject to terms of a Nextel subscriber agreement and credit approval. Two (2) Second Prizes: One (1) Sony Hi8 Camcorder with 2.5" LCD and Steady Shot (Model #CCDTRV318) and one (1) SWAT Prize Pack consisting of SWAT movie-related merchandise such as a hat, t-shirt, or poster. Exact items to be selected by Sponsor in its sole discretion at the time of award. ARV of each SP: $500. Two (2) Third Prizes (“TP”): One (1) Sony 24” Wega TV (Model #KV24FS100) and one (1) SWAT Prize Pack consisting of SWAT movie-related merchandise such as a hat, t-shirt, or poster. Exact items to be selected by Sponsor in its sole discretion at the time of award. ARV of each TP: $400. Two (2) Fourth Prizes (“4th P”): One (1) Sony PlayStation 2 and one (1) SWAT Prize Pack consisting of SWAT movie-related merchandise such as a hat, t-shirt, or poster. Exact items to be selected by Sponsor in its sole discretion at the time of award. ARV of each 4th P: $250. Two (2) Fifth Prizes (“5th P”): One (1) Sony DVD Player (Model #DVP-NC665PS) and one (1) SWAT Prize Pack consisting of SWAT movie-related merchandise such as a hat, t-shirt, or poster. Exact items to be selected by Sponsor in its sole discretion at the time of award. ARV of each 5th P: $180. One Hundred (100) Sixth Prizes: (“6th P”): One (1) Sony Pictures DVD. Exact DVD title to be selected by Sponsor in its sole discretion at the time of award. ARV of each 6th P: $19.95. ARV of all prizes: $52,920. Approximately 10,000 entry forms will be distributed, but odds of winning a prize depend on the number of eligible Entries received. Limit one (1) prize per person/family/household. All winners are solely responsible for all any required installation or requested product upgrades/options, costs, incidentals, and any other expenses not specifically mentioned as being included. No substitution, transfer or cash equivalent for any prize (or prize component), except that Sponsor, at its sole discretion, may substitute a prize of equal value due to prize unavailability (or inability to obtain Nextel service) for any reason. Prizes will be shipped to U.S. addresses only. Any depiction of prizes is for illustrative purposes only. All federal, state, or other taxes are sole responsibility of winners.

4.Drawing and Notification of Winners: Potential winners will be randomly selected from all eligible Entries received in a drawing held on or about September 15, 2003 (“Drawing Date”) by Sweepstakes Administrator. If any winner is a resident of a jurisdiction that deems him/her to be a minor, prize will be awarded in the name of his/her parent/legal guardian. Each potential winner (if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by mail, phone, and/or email within two (2) to six (6) weeks of the Drawing Date. If any potential winner cannot be reached after a reasonable effort has been exerted, he/she is found to be ineligible, he/she cannot or does not comply with these Official Rules, or if his/her prize or prize notification is returned as undeliverable, that potential winner will be disqualified and an alternate potential winner may be selected at Sponsor’s sole discretion.

5.General Conditions: Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively “Rules and Laws”). Each potential GP and FP winner (his/her parent/legal guardian, if residents of a jurisdiction that deems them to be minors), will be required to sign, execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, (where legal) a Publicity Release, and any other documentation that Sweepstakes Administrator and/or Sponsor may require (collectively “Affidavit/Release”), within five (5) days after receipt or such potential GP or FP winner may be disqualified and alternate potential GP or FP winner may be selected. By returning the completed Affidavit/Release, GP and FP winners attest to the authenticity of their winning Entry. Once submitted, Entries become the sole property of Sponsor and will not be returned. Except where prohibited by law and Sponsor’s Privacy Policy located at www.sonypictures.com/corp/privacy.html: (1) entry and/or a winner’s (winner’s parent/legal guardian, if a winner is minor) acceptance of a prize constitutes permission of such winner or, if minor, his/her parent/legal guardian, for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, online, winner’s first name, last initial, city and state, for the sole purpose of posting this information on the Web Site and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. Additionally, by opting-in to specific offers from any of the Sweepstakes Entities, entrant’s personal information will be subject to their respective privacy policies and terms of service and entrants agree to receive additional email communication from those companies. Respective privacy policies of Sweepstakes Entities participating in opt-ins will be accessible from the Web Site. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or the Web Site or any Web site related to the Sweepstakes; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. By submitting entry form entrant confirms accuracy and veracity of statements and information contained therein. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes or any portion(s) thereof and conduct the drawing from all salvageable eligible Entries received, if any. In case of a dispute over the identity of an entrant who submitted a winning Online and/or Bonus Online Entry, the owner of the email account associated with such entry may be deemed to be the entrant at Sponsor’s sole discretion, must comply with these Official Rules and may be required to provide proof of ownership of the email account.

6.Disclaimers: Sweepstakes Entities are not responsible or liable for multiple Entries, Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Entries that are illegible, late, mutilated, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, postage due, mass machine printed, mechanically duplicated, or otherwise not in compliance with these Official Rules and all such Entries will be disqualified. By entering Sweepstakes, entrants agree and acknowledge to be bound by the Rules and Laws, as well as the decisions of Sweepstakes Administrator which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes; ambiguous Sweepstakes SWAT questions, human error; incorrect or inaccurate transcription of Entry Information; acceptance/possession, use/misuse, and/or defects of the prizes awarded herein; entry forms that contain printing, typographical, or other errors; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider; interruption or inability to access Sweepstakes, Web Site, or any online service via the internet due to hardware or software compatibility problems; any damage to entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. Entrants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes, to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including express warranties provided exclusively by a prize supplier that may be sent along with a prize.

7.Rules/List of Winners: For a list of winners (excluding 6th P winners) or for a copy of these Official Rules, send a self-addressed, stamped envelope (with proper postage affixed) to: NEXTEL/SWAT Sweepstakes Challenge Promotion “Rules”/“List of Winners” (specify which), P.O. Box 10301, Burbank, CA 91510. All requests must be received by November 1, 2003. Official Rules will also be accessible from the Web Site. Official Rules will be posted at Tour Locations and on the Web Site. List of winners may also be posted on the Web Site.
