  1. Contest Overview; Contest Entities. The Other Boleyn Girl Virtual Book Club Contest (the “Contest”) is sponsored by Columbia TriStar Marketing Group, Inc. (“Sponsor”) and consists of a skill and time-based competition in which prospective individuals who are permanent legal residents of the 50 states of the United States and the District of Columbia, and 13 years of age or older as of time of entry (the “Contestants”), demonstrate their skill in organizing virtual “The Other Boleyn Girl” book clubs (“Clubs”) and encouraging new Contestants to join their Clubs, and exhibiting their knowledge of the book The Other Boleyn Girl (the “Book”) by answering ten (10) multiple choice questions related to the content, events, and characters from the Book (“Quiz”). Prizes (or components thereof) are awarded to all eligible members of a winning Club based on the number of “points’ obtained by such Club as described with more specificity below. Contestants earn points for their particular Club as follows:
  2. A) by “organizing” a Club and registering as the “Book Club Organizer” of the Club (one point would be earned for the Book Club Organizer’s registration);

    B) by being invited by a Book Club Organizer or Book Club Member to join his/her Club, and registering as a member of the Club (“Book Club Member”) (one point would be earned for the new Book Club Member’s registration);

    C) by recruiting new individuals to join their Club by registering as Book Club Members (one point would be earned for each new Book Club Member’s registration); and/or

    D) as a Book Club Organizer or Book Club Member, by correctly answering one or more of the Quiz’s multiple questions (one point would be earned for each correct answer, provided that all ten of the questions are answered (correctly or not) in one single, uninterrupted online session).

    The skills involved in this Contest include recruiting skills, knowledge of the Book, and the ability to select Book Club Members who also possess knowledge of the Book. The Contest begins at 7:00 p.m.Pacific Time (“PT”) on February 15, 2008, and ends at 12:00 p.m. noon PT on March 7, 2008, such period referred to as the “Contest Period.” Sponsor’s computer, the official Contest timekeeping device, will determine all relevant dates and times during the Contest Period. PARTICIPATION IN THIS CONTEST IS SUBJECT AT ALL TIMES TO COMPLIANCE WITH THESE OFFICIAL CONTEST RULES AND WITH ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS. Employees, officers, and directors of Sponsor, its prize suppliers, Skycastle Entertainment, Inc., Sullivan Compliance Company (“Contest Administrator”), and each of the foregoing entities’ respective affiliates, authorized designees and other related entities, and any other individual or entity associated with the development or administration of this Contest (collectively, the “Contest Entities”), as well as members of their immediate families (spouses, children, siblings, parents) or households (whether or not related), are not eligible to participate in the Contest.

  3. Eligibility. PLEASE READ THIS SECTION CAREFULLY. To be deemed eligible to participate in this Contest and, if determined by Sponsor as an eligible member of a winning Club (either as a Book Club Member or Book Club Organizer), to receive the applicable prize(s), in addition to the residency, age, and family/household restrictions set forth above, each Contestant must fulfill/satisfy/comply with each of the following requirements at his/her time of entry (except for the completion of an Affidavit/Release by the Book Club Organizer of the Grand Prize winning Club which occurs after the Contest Period, as described in Section 5 below) and at all stages of his/her participation in this Contest and/or his/her use of any prize awarded hereunder. The Contestant must: (i) not participate in this Contest in a manner that could be perceived by a reasonable person as giving or threatening to give rise to criminal or civil liability, or encouraging conduct that might constitute a criminal offense, or encourage or provide instructional information about illegal activities; (ii) complete and execute and return in a timely manner any Contest-related documentation that Sponsor determines in good faith must be executed (e.g., travel documents if declared the Grand Prize winning Club’s Book Club Organizer); and (iii) otherwise be in full compliance with these Official Contest Rules and all applicable laws.
  4. How to Enter: To enter this Contest, access the Contest web site located at http://www.sonypictures.com/movies/theotherboleyngirl/contest/ (“Web Site”). Then, follow the online instructions to register as a Book Club Organizer or Book Club Member. REMEMBER THAT YOU CANNOT PARTICIPATE IN THIS CONTEST AS A BOOK CLUB MEMBER UNLESS YOU HAVE BEEN INVITED TO DO SO BY A BOOK CLUB ORGANIZER OR BOOK CLUB MEMBER. YOU CAN ONLY PARTICIPATE IN THIS CONTEST IN ONE (1) CLUB (EITHER AS A BOOK CLUB ORGANIZER OR BOOK CLUB MEMBER – REMEMBER YOU CANNOT BE BOTH). ONCE YOU REGISTER AS A BOOK CLUB ORGANIZER OR JOIN A CLUB AS A BOOK CLUB MEMBER, YOU CANNOT PARTICIPATE IN ANOTHER CLUB.
  5. A) Book Club Organizer: To register as a Book Club Organizer, fill out the Book Club Organizer registration form. Information required on the Book Club Organizer Contest registration form consists of your Email Address, First Name, Last Name, Date of Birth, Street Address (no P.O. Boxes), City, State, Zip Code, Daytime Phone Number (with area code), and Gender (collectively, “Registration Information”). Your Club will be “organized” and acquire one (1) point after you have successfully submitted your Registration Information. Immediately after registering, you will be encouraged to earn more points for your Club by correctly answering one or more of the multiple choice questions in the Quiz. If you choose to take the Quiz, you will be directed to answer each Quiz question (from the four (4) possible responses provided for each Quiz question). If you answered any Quiz question incorrectly, you will not be given another chance to answer correctly that same question and you will not be told the correct answer. If you choose not to take the Quiz, quit the Quiz, or exit the Web Site prior to responding to all the Quiz questions for any reason, you will not have the opportunity to go back to the Quiz later or do all or any part of the Quiz again and you will receive no Quiz points for your Club, even if you correctly answered any one or more questions before you abandoned the Quiz. Your Club will receive one point for each Quiz question you answer correctly, as determined by Sponsor in its sole discretion, provided that you complete the entire Quiz in one online session. Only after you complete the Quiz will you be told of the total number of Quiz points you earned for your Club. You can earn more points for your Club by recruiting Book Club Members among your friends. If you are interested in recruiting Book Club Members for your Club, use the unique link or 4-digit Club ID (“Club ID”) assigned to your Club that will be made available to you on the Web Site for your friends to register. Individuals you recruit for your Club must be personally known to you and be individuals you sincerely believe might be interested in participating in this Contest and your Club. Do NOT contact individuals unknown to you as they may perceive your contact as unwanted and impinging upon their privacy. If Sponsor or Contest Administrator determines that a Book Club Organizer has contacted or attempted to contact individuals not known to him/her or that he/she may be using this Contest as a means of annoying, harassing, abusing, bothering, threatening or badgering any individual, the Book Club Organizer and his/her Club will be disqualified and Sponsor may take all other measures deemed necessary, as determined by Sponsor in its sole discretion.

    B) Book Club Member:In order to register as a Book Club Member, you must have been given a unique link or Club ID from a Book Club Organizer or another Book Club Member. To register as a Book Club Member, fill out the Contest registration form for Book Club Member participation. You can also access the Book Club Member Contest registration form by clicking on the unique link provided to you by the Book Club Organizer or another Book Club Member who recruited you. Information required on the Book Club Member Contest registration form consists of your Registration Information and the Club ID provided by the Book Club Organizer or Book Club Member who recruited you (see Section 3.a. above). Your Club will acquire one (1) point after you have successfully submitted your Registration Information. Immediately after registering, you will be encouraged to earn more points for your Club by correctly answering one or more of the multiple choice questions in the Quiz (see Section 3.a. above for Quiz details). You can earn more points for your Club by recruiting new Book Club Members among your friends. If you are interested in recruiting new Book Club Members for your Club, use the unique link or Club ID provided you by your Book Club Organizer or Book Club member for your friends to register. Individuals you recruit for your Club must be personally known to you and be individuals you sincerely believe might be interested in participating in this Contest and your Club. Do NOT contact individuals unknown to you as they may perceive your contact as unwanted and impinging upon their privacy. If Sponsor or Contest Administrator determines that a Book Club Member has contacted or attempted to contact individuals not known to him/her or that he/she may be using this Contest as a means of annoying, harassing, abusing, bothering, threatening or badgering any individual, the Book Club Member will be disqualified and Sponsor may take all other measures deemed necessary, as determined by Sponsor in its sole discretion.

    Once an email address has been used by a Contestant to register for the Contest, that email address cannot be used by any other individual to register for the Contest. Only the Contestant registered under a particular email address may participate in the Contest. All required Registration Information for Book Club Organizers and Book Club Members must be completed in full. Limit one Contest registration and one attempted completion of the Quiz per individual for the entire Contest. Contestants who are found to have registered more than once or have attempted to complete more than one Quiz will be disqualified from the Contest and all points of such disqualified Contestants (i.e., the points associated with their registrations and their corresponding Quiz points) will be deducted from the applicable Club’s total. Proof of submitting any Registrations Information will not be deemed by Sponsor as proof of receipt or entry into this Contest. Any attempted form of participation in this Contest other than as described herein is void and may result in disqualification of Contestant that Sponsor suspects has engaged in same (and deduction from Club(s) of points associated with such disqualified Contestant).

  6. Prizes: One (1) Grand Prize consisting of a trip and trade paperbacks of the Book, as described below. The Club with the largest number of points at the end of the Contest Period as determined by Sponsor in its sole discretion will be the Grand Prize winning Club. The Book Club Organizer of the Grand Prize winning Club will receive a trip to London, England for himself / herself and up to one guest (“Trip”) and one (1) trade paperback of the Book (ARV: $16). Trip consists of: roundtrip coach class air transportation for Book Club Organizer and guest from an international airport near Book Club Organizer’s residence (as determined by Sponsor, in its sole discretion) to an airport near London, England; four (4) consecutive nights standard hotel accommodations (single room/ double occupancy) at a London area hotel; the opportunity for Book Club Organizer and his/her guest to meet Philippa Gregory, the author of Book; and two (2) general entrance tickets to the Tower of London and Hampton Court Palace. Approximate Retail Value (“ARV”) of the Trip: $4,880.00. There is no monetary value assigned to the opportunity to meet with Philippa Gregory. The ARV of the travel component of the Trip may vary depending upon the point of departure, destination, and fare fluctuations, and any difference in value will not be awarded. Book Club Organizer and guest must travel together on the same itinerary. If Book Club Organizer is a resident of a jurisdiction that deems him/her to be a minor, Trip guest must be his/her parent or legal guardian, otherwise, his/her parent or legal guardian must accompany Book Club Organizer on the Trip and be solely responsible for all costs associated with such travel. If travel guest is a resident of a jurisdiction that deems him/her to be a minor, Book Club Organizer must be his/her parent or legal guardian, otherwise, his/her parent or legal guardian must accompany travel guest on the Trip and be solely responsible for all costs associated with such travel. If Book Club Organizer elects to travel or partake of any prize component alone, such affected prize component(s) will be awarded in increment(s) suitable for one traveler and no additional compensation will be awarded in conjunction therewith. Book Club Organizer and guest are solely responsible for obtaining all necessary and required travel documents (e.g., passports). Book Club Organizer and/or his/her guest will be required to have/present at least one major credit card in good standing in order to check into hotel room, to cover any hotel incidentals (e.g., room service, phone calls) not specifically mentioned as being included. Trip is subject to air travel and hotel availability, Philippa Gregory’s availability, holiday and black–out dates, and all other prize and travel restrictions and must be taken within one (1) year of notification of winning. If the meeting with Philippa Gregory cannot take place because of scheduling conflicts or other reasons beyond Sponsor’s control, Sponsor’s obligations to award the Trip will be deemed fully satisfied by the awarding of the rest of the components of the Trip and no additional (or substitute) compensation of any kind will be given to Book Club Organizer. Once determined, no extension or change of Trip dates permitted, except by Sponsor in its sole discretion and/or as otherwise permitted or contemplated in these Official Contest Rules. Once determined, the Contest Administrator will provide to the Book Club Organizer in an itinerary the specific dates, times and locations regarding the Trip and provide him/her with all other specific instructions. Trip elements cannot be taken on different travels and must be taken at the same time. General entrance tickets are subject to Tower of London and Hampton Court operating schedule and policies. Each Book Club Member of the Grand Prize winning Club, as per Sponsor’s records, will receive one (1) trade paperback of the Book (ARV: $16). The total ARV of the Grand Prize depends on the total number of Book Club Members eligible to receive the aforementioned Book in accordance with these Official Contest Rules. One 200-Point Prize consisting of Philippa Gregory Libraries. The first Club to reach 200 points as determined by Sponsor in its sole discretion will be the 200-Point Prize winning Club. The Book Club Organizer and each Book Club Member of the 200-Point Prize winning Club at the time the 200 points are reached per Sponsor’s records, will receive one Philippa Gregory Library consisting of five trade paperbacks (The Other Boleyn Girl movie tie-in edition, The Boleyn Inheritance, The Virgin’s Lover, The Queen’s Fool and The Constant Princess) as well as an audio recording of the Book. ARV of each Philippa Gregory Library: $109.95. Contestants who register as Book Club Members after their Club reached 200 points will not receive the Philippa Gregory Library. The total ARV of the 200-Point Prize depends on the total number of Book Club Members eligible to receive the Philippa Gregory Library in accordance with these Official Contest Rules. One 100-Point Prize consisting of trade paperbacks of the Book autographed by Philippa Gregory. The first Club to reach 100 points as determined by Sponsor in its sole discretion will be the 100-Point Prize winning Club. The Book Club Organizer and each Book Club Member of the 100-Point Prize winning Club at the time the 100 points are reached per Sponsor’s records, will receive one (1) trade paperback of the Book autographed by Philippa Gregory (ARV: $16). Contestants who register as Book Club Members after their Club reached 100 points will not receive the autographed Book. Sponsor makes no representation or warranty as to the resale value of the autographed Book. The total ARV of the 100-Point Prize depends on the total number of Book Club Members eligible to receive the autographed Book in accordance with these Official Contest Rules. Any costs associated with accepting, redeeming and/or using any prize which is not specifically mentioned herein as being included, is the sole responsibility of the Contestant receiving the prize or component thereof. No substitution, transfer, or cash equivalent for any prize, except that Sponsor, at its sole discretion, may substitute a prize/prize component with a prize/prize component of equal value, due to unavailability of a prize or prize component for any reason. Any depictions of prizes are for illustrative purposes only. All federal, state, or other taxes (if applicable) including, without limitation, income taxes, are the sole responsibility of the respective Contestant receiving the prize or component thereof. As applicable, prizes and prize notifications/documents will be mailed/shipped to street addresses within the 50 states of the U.S. or D.C. only (street addresses as provided by Contestants on their Contest registrations). Limit one (1) prize per prize category (Grand Prize, 100-Point Prize, and 200-Point Prize) per Club for the entire Contest Period. The Book Club Organizer of the Grand Prize winning Club will receive an IRS form 1099 from the Contest Administrator for the total ARV of all prizes won for the calendar year such prize(s) were won. If won by a minor in his/her jurisdiction of residence, prize(s) may be awarded to or in the name of his/her parent or legal guardian, as determined by Sponsor in its sole discretion.

  7. Winner Determination and Notification of Winners: All prize winners will be determined by the total number of points earned by each Club (as described in Section 3 and 4 above). In case of a tie to determine which Club won a particular prize, the first Club to earn the winning point total (as per Sponsor’s records) will be declared the winner. On or about March 12, 2008, the Contest Administrator will attempt to contact by telephone the Book Club Organizer of the Grand Prize winning Club (at the telephone number provided by such Book Club Organizer on his/her Contest registration). During the notification call, Contest Administrator will notify such Book Club Organizer (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) that his/her Club is the potential Grand Prize winner and provide him/her information regarding the documentation that Contest Administrator will send to him/her for execution (including, without limitation, an Affidavit of Eligibility, a Liability Release, and, where legal, a Publicity Release and, if the Book Club Organizer wishes to bring a guest on Trip if his/her Club wins the Grand Prize, a Liability Release, and, where legal, a Publicity Release, for such guest), such documentation referred to as the “Documentation,” which Documentation the Book Club Organizer of the Grand Prize winning Club and his/her guest will have to execute and return to Contest Administrator for receipt by Contest Administrator within five (5) business days from the date of notification. If any Contestant of a prize winning Club cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, he/she cannot or does not comply with these Official Contest Rules, and/or his/her prize is returned as undeliverable, such Contestant will be disqualified and his/her prize forfeited (if the Book Club Organizer of the Grand Prize winning Club is disqualified, the Grand Prize will be awarded to the Club/Book Club Organizer whose Club has the next highest point total, as per Sponsor’s records, subject to these Official Contest Rules.) All other eligible Contestants from each prize winning Club (or, if residents of jurisdictions that deem them to be minors, their parents or legal guardians) will be notified upon delivery of their prize to their street address as provided on their Contest registration within approximately one (1) month of the conclusion of this Contest. If a winning Club is disqualified for the Grand Prize, the Club/Book Club Organizer whose Club has the next highest point total, as per Sponsor’s records, will be declared the Grand Prize winning Club subject to these Official Contest Rules. If a winning Club is disqualified for the 100-point and/or 200-point prizes, the Club who was next fastest to reach the respective point total, as per Sponsor’s records, will be declared the winning Club of such prize subject to these Official Contest Rules.
  8. Royal Hall Events: In connection with this Contest, three invitation-only events for select Contestants (each, “The Royal Hall Event”) will be hosted by Borders Group, Inc. (“Borders”) in three (3) different states of the U.S. (one event in each state), in a Borders store or other location selected by Borders for that purpose (“Event Location”). Sponsor will email invitations to the invited Contestants using the email addresses provided by the Contestants in their registration forms. Some of the invitees to each of the Royal Hall Events will be determined by the Zip Codes provided by Contestants on their registration forms (such invitees referred to as the “Zip Code Invitees”). Sponsor will select the three (3) groups of Zip Code Invitees (one group for each of the 3 states) as follows:
  9. Step 1: The Zip Codes from all Contestants (as provided on their registration forms) will be tallied to establish a ranking of Zip Codes based on the number of corresponding Contestants in order to determine those Zip Codes that have the largest number of Contestants (as determined by Sponsor).

    Step 2: The Zip Code ranked with largest number of Contestants (as determined by Sponsor above) will make up the first of the three groups of Zip Code Invitees. If more than one Zip Code ranked with the largest number of Contestants (and each of such Zip Codes is from a different state), such Zip Codes will make up the first, second and (if applicable) third group of Zip Code Invitees. In case of a tie, the first Zip Code to reach the largest number of Contestants will be selected (as determined from Sponsor’s computer).

    Step 3: If there are no other Zip Codes ranked with the largest number of Contestants to make up the second and/or third group of Zip Code Invitees, the Zip Code(s) with the second largest number of Contestants (as determined by Sponsor and from a different state than the Zip Code(s) determined in Step 2) will make up second and/or (if applicable) third group of Zip Code Invitees. If more than one Zip Code ranked with the second largest number of Contestants (and each of such Zip Codes is from a different state), such Zip Codes will make up the second and/or (if applicable) third group of Zip Code Invitees. In case of a tie, the first Zip Code to reach the second largest number of Contestants will be selected (as determined from Sponsor’s computer).

    Step 4: If there are no other Zip Codes ranked with the second largest number of Contestants to make up the third group of Zip Code Invitees, the Zip Code with the third largest number of Contestants (as determined by Sponsor and from a different state than the Zip Codes determined in Steps 2 and 3) will make up the third group of Zip Code Invitees. In case of a tie, the first Zip Code to reach the third largest number of Contestants will be selected (as determined from Sponsor’s computer).

    Each group of Zip Code Invitees will be invited to attend a Royal Hall Event at an Event Location that is located within 100 miles of their Zip Code. In addition to inviting the Zip Code Invitees, Sponsor may, in its sole and exclusive discretion, invite other Contestants to attend any one or more of the Royal Hall Events. Each invited Contestant will be allowed to attend his/her respective Royal Hall Event with one (1) guest. If an invitee’s guest is a resident of a jurisdiction that deems him/her to be a minor, invitee must be his/her parent or legal guardian. Invitees and guests are solely responsible for all transportation to and from their designated Event Locations. Invitations are not transferable and cannot be redeemed/exchanged for cash. If any one or more of the Royal Hall Events cannot take place because of scheduling conflicts or other reasons, the Royal Hall Events may be cancelled and no substitute event will take place.

  10. General Conditions: This Contest is subject to these Official Contest Rules and all federal, state and local laws and regulations. Once submitted, any Registration Information will not be returned. Except where prohibited by law, and subject to Sponsor’s privacy policy accessible from the Web Site, entry and/or a Contestant’s acceptance of a prize constitutes permission of such Contestant (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, such Contestant’s first name, last initial, city, state, for purposes of advertising, trade, promotion and publicity, to the full extent permitted by law. Sponsor reserves the right, in its sole discretion, to disqualify any Contestant or Club it finds to be: (i) tampering with, as applicable, the entry process or otherwise with the operation of this Contest (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device to recruit individuals or otherwise participate in the Contest and/or the posting or distribution of Quiz questions or answers), the Web Site, or any Web page or Web banner ad related to this Contest; (ii) acting in violation of the Official Contest Rules; (iii) acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, harass, harm, mislead, or defraud any other individual or entity in conjunction with recruitment for participation in this Contest or otherwise; or (iv) otherwise in violation of law. Any individual or Club attempting to defraud any of the Contest Entities or in any way tamper with this Contest will be ineligible to receive prize(s) and Sponsor will seek all remedies available to it, including, if appropriate, filing appropriate complaints with legal authorities. If, for any reason, this Contest (or any part thereof) is not capable of running as originally planned, Sponsor, in its sole discretion, reserves the right to cancel, suspend or modify this Contest and award the prizes in a manner that is fair and equitable and in accordance with the spirit of these Official Contest Rules as determined by Sponsor in its sole discretion. In case of a dispute over the identity of a Contestant, at Sponsor’s sole discretion, the authorized account holder of the email address associated with that Contestant’s Contest registration will be deemed the Contestant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other on-line organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner must comply with these Official Contest Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.

  11. Limitation of Liability: Contest Entities are not responsible or liable for any Registration Information that is entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated registration limit, or for any Registration Information or Quiz response that is late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, altered, or otherwise not in compliance with these Official Contest Rules, whether caused by any of the equipment or programming associated with or utilized in this Contest, or by any technical error/malfunction which may occur in the processing of any such information in this Contest, or for failure to receive any Registration Information or Quiz responses due to transmission failures or technical failures of any kind and all such information (if received) will be disqualified and, if applicable, no corresponding points earned. By entering this Contest, each Contestant (and/or his/her parent/legal guardian if the Contestant is a minor) and any Contestant’s guest, if any, agrees and acknowledges: (i) to be bound by these Official Contest Rules, as well as the decisions of the Sponsor and by all applicable laws and all decisions of the Sponsor and Contest Administrator which shall be binding and final in all respects; (ii) to waive any rights to claim ambiguity with respect to the Official Contest Rules or any promotional materials regarding the Contest; (iii) to waive all of his/her rights to bring any claim, action, or proceeding against any of the Contest Entities; and (iv) to release, indemnify, and hold harmless each of the Contest Entities and each of their respective officers, directors, employees, agents and representatives, from any liability (including, but not limited to, liability for any property loss, damage, personal injury, bodily injury, death, loss, expense, accident, delay, inconvenience or irregularity), costs and expenses (including without limitation, reasonable outside attorney’s fees) that may arise in connection with: (a) the Contestant’s, and/or any of his/her guest’s participation or inability to participate in the Contest and/or in any of the Royal Hall Events, (b) typographical errors in the Official Contest Rules or any Contest promotional materials, (c) acceptance or possession, defects in, use, misuse or inability to use any prize (or any component thereof); (d) any change by any company or any other individual providing any of the components of a prize due to reasons beyond any of the Contest Entities’ control or as otherwise permitted hereunder, (e) any interruptions in or postponement, cancellation, or modification of the Contest (or any parts thereof) and/or any of the Royal Hall Events, (f) human error, (g) incorrect or inaccurate transcription of any Contest-related information, (h) any technical malfunctions or unavailability of the Web Site or any telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by any of the Contest Entities or by any Contestant, (i) interruption or inability to access the Contest, any Contest-related web pages, or any online service via the internet due to hardware or software compatibility problems, (j) any damage to Contestant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Contest, (k) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (l) any wrongful, negligent, or unauthorized act or omissions on the part of any of the Contest Entities, or any of their agents or employees, or (m) any other cause, condition or event whatsoever beyond the control of any one or more of the Contest Entities. Each Contestant (and his/her guest, if applicable) hereby acknowledges that the Contest Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to, as applicable, any prize or component thereof, or related to any of the Royal Hall Events.

  12. ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW. BY SUBMITTING ANY REGISTRATION INFORMATION, CONTESTANTS AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICIAL CONTEST RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION, OR OTHERWISE ARISING OUT OF OR RELATING TO ANY CONTESTANT’S (OR HIS/HER GUEST’S, IF ANY) PARTICIPATION IN THE CONTEST OR ANY ROYAL HALL EVENT), SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN THE CITY CLOSEST TO THE CITY OF, AS APPLICABLE, CONTESTANT’S RESIDENCE (WITH RESPECT TO A CONTESTANT, AS PROVIDED IN SUCH CONTESTANT’S REGISTRATION INFORMATION, AMONG THE FOLLOWING FOUR ALTERNATIVES: (1) LOS ANGELES, CALIFORNIA, (2) NEW YORK, NY, (3) CHICAGO, ILLINOIS, OR (4) ATLANTA, GEORGIA, BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.
  13. CONTESTANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE CONTEST, THE MOVIE “THE OTHER BOLEYN GIRL,OR ANY OTHER MOVIE, PRODUCTION OR PROJECT OF COLUMBIA TRISTAR MARKETING GROUP, INC. OR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.

    CONTESTANTS (AND IF APPLICABLE, EACH OF THEIR GUESTS, IF ANY) ACKNOWLEDGE THAT THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE OFFICIAL CONTEST RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THESE OFFICIAL CONTEST RULES OR THE PARTICIPATION OF ANY CONTESTANT OR IF APPLICABLE, HIS/HER GUEST IN, AS APPLICABLE, THIS CONTEST OR ANY OF THE ROYAL HALL EVENTS.
