The “Pursuit of Happyness” Sweepstakes

NO PURCHASE NECESSARY
VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

1. Eligibility: The “Pursuit of Happyness” Sweepstakes (“Sweepstakes”) is open only to current legal residents of the 50 states of the U.S. and D.C., who are physically located and residing therein, who are 13 years of age or older as of November 7, 2006. Employees, officers, and directors of Hilltop New Media Inc. (“Sponsor”), Sony Pictures Digital Inc., Columbia TriStar Marketing Group, Inc., Sony Pictures Entertainment Inc., Grouper Networks, Inc., and each of the entities’ parents, affiliates, subsidiaries and other related entities, and each of the entities’ respective prize suppliers, authorized designees, and any other individual or entity associated with this Sweepstakes (“Sweepstakes Entities”), and members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.


2. How to Enter: This Sweepstakes begins at 8:59 p.m. Pacific Time (“PT”) on November 7, 2006 and ends at 11:59:59 p.m. PT on December 29, 2006 (“Sweepstakes Period”). Enter online by accessing the web site located at http://www.sony.com/pursue-it (“Web Site”), follow the online instructions and provide the required information on the online entry form consisting of Entrant’s First Name, Last Name, Address (no P.O. Boxes), City, State, Zip Code, Phone Number (including area code), (Phone Number required for potential winner notification and prize fulfillment purposes only), Email Address, and Date of Birth (collectively, “Entry Information”) (“Entry”). Entries must be received by 11:59:59 (PT) on December 29, 2006. Limit one (1) Online Entry per person/email address throughout Sweepstakes Period. Entries by the same person in excess of this limit will be disqualified. All required Entry Information must be completed in full. If entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Proof of submission, delivery, or receipt of Entries will not be deemed by Sponsor as proof of entry. Sponsor’s computer is the official clock for the Sweepstakes. Any attempted form of entry into this Sweepstakes other than as described herein is void.
3. Prize/Odds of Winning.  One (1) Grand Prize: Grand Prize winner will receive one (1) Sony Vaio Fj Series Notebook Computer (Model:Vgn-Fj290) and one (1) $1,000 Sonystyle.Com Gift Card. TOTAL ARV (“Approximate Retail Value”) of Grand Prize: $2,129.98. Odds of winning the Grand Prize depends on the total number of eligible Entries received. No substitution, transfer, or cash equivalent for a prize (or prize component), except that Sponsor reserves the right, at its sole discretion, to substitute for a prize (or prize component), a prize (or prize component) of equal or greater value for any reason including, without limitation, prize unavailability. Prize, prize components and notifications will be shipped to street addresses in the 50 U.S. states or D.C. only. All federal, state, or other taxes are the sole responsibility of winner. Winner is solely responsible for all costs, incidentals, any required installation or requested product upgrades/options on electronics, and any other expenses not specifically mentioned as being included. Winner will receive an IRS Form 1099 for the year in which the prize is awarded from the Sponsor for the applicable prize value noted in these Official Rules. Any depictions of the prize are for illustrative purposes only.
4. Drawing and Notification of Winner:  Potential winner will be randomly selected from all eligible Entries received in a drawing to be held on or about January 12, 2007 (“Drawing Date”) by Sweepstakes Administrator, an independent judging organization. Potential winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by phone, mail and/or email within two (2) weeks of the Drawing Date. If potential winner (his/her parent/legal guardian if potential winner is a resident of a jurisdiction that deems him/her to be a minor), cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her Prize or Prize notification is returned as undeliverable, potential winner will be disqualified, and an alternate potential winner will be selected at Sponsor’s sole discretion.
5. General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively “Rules and Laws”). Potential winner (his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be required to sign, execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, (where legal) a Publicity Release and any other documentation that Sponsor requires (collectively “Affidavit/Release”) within five (5) days after receipt by the potential winner or such potential winner may be disqualified and an alternate potential winner may be selected. If winner is a resident of a jurisdiction that deems him/her to be a minor, prize will be awarded in the name of his/her parent/legal guardian, who must sign Affidavit/Release on his/her behalf. By returning the completed Affidavit/Release, winner attests to the authenticity of his/her winning Entry. Once submitted, Sweepstakes Entries and the corresponding Entry Information become the sole property of Sponsor and will not be returned. Notwithstanding anything to the contrary in Sponsor’s privacy policy located at http://www.sonypictures.com/corp/privacy.html and except where prohibited by law: (1) any Entry submitted by an entrant and/or any winner’s acceptance of a prize constitutes permission of such entrant and/or winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sweepstakes Entities to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Web Site or associated Web pages, winner’s name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes worldwide and in all forms of media, in perpetuity, without further notice to or compensation in connection with said Sweepstakes or the prize awarded and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and /or dispose of Sweepstakes Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. Sponsor will not provide any personally identifying information of minors, regardless of its source, to any third party without the express written consent of entrant’s parent/legal guardian. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device), the Web Site, or any Web page or Web banner ad related to the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with the Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes and instruct the Sponsor to conduct the drawing and award the prize from all eligible, salvageable Sweepstakes Entries received prior to and/or after (as appropriate) the action taken by Sponsor or in a manner that is fair and equitable as determined by Sponsor. In case of a dispute over the identity of an entrant who submitted a winning Online Entry, the authorized account holder of the email address associated with that Online Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other on-line organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.
6. Disclaimers: Sweepstakes Entities are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for Entries that are illegible, late, mutilated, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, incomplete, garbled, or otherwise not in compliance with these Official Rules, and all such Entries will be disqualified. By entering the Sweepstakes, each entrant agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of the Sponsor which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that the Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the Sweepstakes; typographical errors in Sweepstakes promotional material; acceptance/possession, defects, and/or use/misuse of a prize; any change by any company or any other person providing any of the components of the prize due to reasons beyond Sponsor or any of the Sweepstakes Entities’ control; any interruptions/postponement/cancellation of Sweepstakes; human error; incorrect or inaccurate transcription of Sweepstakes Entry Information; any technical malfunctions of the telephone network, computer on-line system, computer dating mechanism, computer equipment, software, or internet service provider utilized by the Sweepstakes or by entrant; interruption or inability to access the Sweepstakes, any Sweepstakes-related Web pages, or any on-line service via the Internet due to hardware or software compatibility problems; any damage to entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of any one or more of the Sweepstakes Entities. Each entrant further agrees to indemnify and hold harmless each of the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against any of the Sweepstakes Entities. Winner releases Sweepstakes Entities from any and all liability/responsibility with respect to all prizes and/or Sweepstakes (including any property loss, damage, personal injury, or death) and hereby acknowledges that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including express warranties provide exclusively by a prize supplier that are sent along with a prize. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of the Sweepstakes Entities, or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of any of the Sweepstakes Entities, or (3) by any other cause, condition or event whatsoever beyond the control of any of the Sweepstakes Entities.
7. ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW:  BY SUBMITTING ENTRY, ENTRANTS AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ.  THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES).  IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC.  THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED.  THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW. 

   ENTRANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, THE PURSUIT OF HAPPYNESS MOVIE, OR ANY OTHER MOVIE, PRODUCTION OR PROJECT OF SPONSOR OR OF ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES. 

   ENTRANTS ACKNOWLEDGE THAT THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE SWEEPSTAKES RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES.

Rules/Winner Name: For a copy of these Official Rules or the Name of the Winner, send a self-addressed, stamped envelope to: The “Pursuit of Happyness” Sweepstakes” Rules/Winner’s Name (specify which), P.O. Box 6375, Burbank, CA 91510. All requests must be received by March 1, 2007. The Official Rules will be available on the Web Site during the Sweepstakes Period.
