1. Eligibility: The “Fall in Love Again with Seinfeld” Sweepstakes (“Sweepstakes”) is open only to permanent legal residents of the 50 states of the United States and Washington D.C., who are physically located and residing therein, and who are 13 years of age or older as of February 1, 2008. Employees, officers, and directors of Hilltop New Media, Inc. (“Sponsor”) Sony Pictures Digital Inc., Sony Pictures Television Inc., American Airlines®, Inc.(“Prize Provider”), K Hotels and Sweepstakes Administrator, each of the entities’ parent companies, affiliates, agents, sales representatives, subsidiaries, distributors, advertising and promotion agencies and other related entities, each of the entities’ respective prize suppliers, authorized designees, any other individual or entity associated with this Sweepstakes (collectively, “Sweepstakes Entities”), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.

2. Sweepstakes Description: This Sweepstakes begins at 12:00:00 p.m. (noon) Pacific Time (“PT”) on February 1, 2008, and ends at 12:00:00 p.m. (noon) PT on February 29, 2008 (“Sweepstakes Period”). Sponsor’s computer is the official clock for all purposes of this Sweepstakes. Prospective entrants are asked to access the Sweepstakes Web Site located at www.seinfeld.com/sweepstakes (“Web Site”) to enter the Sweepstakes.

3. How to Enter: To enter, access the Web Site and follow the online instructions to complete and thereafter submit the Sweepstakes entry form (“Sweepstakes Entry”). Information required on the entry form consists of your First Name, Last Name, Street Address (no P.O. Boxes), City, State, Zip Code, Daytime Phone Number (including area code), Gender, Date of Birth and Email Address (collectively, “Entry Information”). Limit one (1) Sweepstakes Entry per person/email address per day. Entries by the same person in excess of the stated limit will be disqualified. Sweepstakes Entries must be received by 12:00:00 p.m. (noon) PT on February 29, 2008. All required Entry Information must be completed in full. Proof of submitting a Sweepstakes Entry will not be deemed by Sponsor as proof of receipt or entry into the Sweepstakes. Any attempted form of entry or participation in this Sweepstakes other than as described herein is void.

4. Prizes/Odds of Winning. One (1) Grand Prize: Trip for two (2) to New York, New York. Grand Prize winner will receive (i) two (2) Roundtrip Coach Class Travel Authorization Certificates (“Travel Certificates”) for domestic air travel on American Airlines® or their Airline Associates (American Eagle or AmericanConnection® carriers) from any city served by American Airlines or their Airline Associates in the 50 United States or Washington, D.C. to New York City, New York (exact flight details to be determined by Prize Provider at its sole discretion). Grand Prize winner is responsible for full cost of transportation to and from the closest American Airlines departure city and their place of residence. ; and (ii) standard hotel accommodations for (2) people (single room/double occupancy) for two (2) nights. Approximate Retail Value (“ARV”) of trip component: $1,900.00. Grand Prize winner will also receive one (1) $200.00 gift card; Two (2) tickets for a sightseeing tour in New York (ARV: $100.00); and One (1) Seinfeld prize pack (ARV: $30.00). Prize pack consists of select Seinfeld merchandise which may include a T-shirt, hat, and/or mug. Prize pack merchandise awarded subject to availability and at Sponsor’s sole discretion. Total ARV of Grand Prize: $2,230.00. ARV for the Grand Prize varies depending upon the point of departure, fare fluctuation, and number of travelers, any differences between the ARV and the actual value will not be awarded. Trip prize conditions: Prize Provider reserves the right to award the Travel Certificates” and to structure travel route in its sole discretion. The destination may not be exchanged for another destination. Trip is subject to air/ground travel availability, hotel availability, and is subject to the specific terms and conditions set forth by Prize Provider and Sponsor. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Prize Provider’s sole discretion. Grand Prize winner or his/her guest must present at least one major credit card in good standing in order to check into room(s). No refund or replacement of travel arrangements/bookings will be considered for any missed prize features, nor for any consequences of no-show at stipulated times or places nor expiration of trip. If Grand Prize winner elects to partake in the travel prize without any guest, then the remaining elements of the trip prize shall constitute full satisfaction of Sponsor’s prize obligation to winner and no additional compensation will be awarded. Grand Prize winner and his/her guest must travel together on the same itinerary. If a component of the Grand Prize is not available during time of Grand Prize winner’s trip for whatever reason (e.g., weather conditions, etc.), that portion of the Grand Prize will be forfeited, and no compensation will be awarded in lieu thereof. Items not specifically mentioned as being included as part of the Grand Prize are the sole responsibility of the Grand Prize winner and his/her guest(s), if applicable, and may include, but are not limited to, unspecified ground transportation, airport tax, travel tax, travel insurance, room service, laundry service, spa treatments, meals, hotel incidentals, local and long distance telephone calls, gratuities, personal items, government fees, and all other costs and expenses not otherwise mentioned herein. If Grand Prize winner is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must make his/her own travel arrangements and pay his/her own expenses unless deemed to be the travel guests. If travel guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must make his/her own travel arrangements and pay his/her own expenses unless he/she is the Grand Prize winner. Travel Certificates will not be provided if a winner lives within 100 miles of NY, NY and no additional or substitute compensation will be provided in lieu thereof. Grand Prize winner and his/her guest are solely responsible for providing and holding all necessary identification documents and travel documents (e.g. I.D’s). Failure to provide such documents may result in trip cancellation upon airport check-in. Five (5) First Prizes each consisting of: One (1) Seinfeld prize pack (ARV $30.00 each). Prize pack consists of select Seinfeld merchandise which may include a T-shirt, hat, and/or mug. Prize pack merchandise awarded subject to availability and at Sponsor’s sole discretion. TOTAL ARV OF ALL PRIZES: $2,380.00. Odds of winning a prize depends on the total number of eligible Sweepstakes Entries received. No substitution, transfer or cash equivalent for any prize (or component of any prize), except that Sponsor, in its sole discretion, may substitute a prize (or component of a prize) of equal or greater value due to prize unavailability for any reason. Any depictions of prizes are for illustrative purposes only. All federal, state, or other taxes (if applicable) are the sole responsibility of each winner. Prizes will be mailed / shipped to street addresses in the 50 states of the U.S. or D.C. only. Grand Prize winner will receive an IRS Form 1099 for the year in which his/her Grand Prize is awarded from the Sponsor for the total ARV noted in these rules. Limit one (1) prize per person for the entire Sweepstakes Period. The Sweepstakes administrator is not the supplier or guarantor of any prize. Grand Prize winner and his/her guest are responsible for obtaining all necessary and required travel documents including passports, visas or immunizations if required. All expenses not expressly set forth herein shall be the responsibility of the Grand Prize winner and his/her guest, including, but not limited to, additional travel expenses such as applicable federal, state, local and foreign fees or taxes, surcharges, service charges, excess baggage charges, fees for traveling on other carriers, or passenger facility charges, travel insurance, sightseeing, attractions, ground transportation fees, fees for hotel facilities, items purchased in the hotel and other additional expenses incurred. Moreover, beverage charges, meal charges, gratuities, service charges, taxes, and other expenses not specified, are the responsibility of the Grand Prize winner and his/her guest. Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Sweepstakes Entities shall not be liable for any loss or damage to baggage. Sponsor or Prize Provider will not replace any lost or stolen tickets or Travel Certificates. Once booked, no change, extension, or substitution of trip dates is permitted, except by Prize Provider at their sole discretion. If permitted, an administrative service charge of $100.00 will be assessed for any change requiring reticketing, such as a change of origin or destination. Changes requiring reticketing must have prior approval of ticket authorizer. If American Airlines, for any reason, discontinues service to the selected destination before the travel date, the user must select an alternate American Airlines destination.

5. AMERICAN AIRLINES® TRAVEL AUTHORIZATION CERTIFICATE TERMS. This certificate (“Travel Certificate”) may be used to purchase air travel wholly on American Airlines, American Eagle carriers and AmericanConnection® carriers. Travel Certificates are redeemable for air travel sold and originating in the 50 United States. Travel Certificates are not returnable or redeemable for cash, except where required by law. A lost, stolen or damaged Travel Certificate will not be replaced. A Travel Certificate has no implied warranties and is not a credit or debit card. A Travel Certificate is based on availability at the time of reservation, and must adhere to applicable blackout dates. Expiration date cannot be extended. Travel using Travel Certificates does not qualify for American Airlines AAdvantage® mileage credit or elite status. American Airlines reserves the right to revise rules and conditions at any time without notice.

6. AMERICAN AIRLINES® TRAVEL TERMS. All travel must be completed by one (1) year from date of issue. If Grand Prize winner is unable to travel by this date, prize will be forfeited. Travel must originate and end at the airport nearest Grand Prize winner’s home that is served by American Airlines or their Airline Associates. Travel is subject to availability and certain other restrictions, which are subject to change in the sole discretion of American Airlines. Grand Prize winner’s guest must be 18 years of age or older if not a member of winner’s immediate family and will be required to execute and return a liability/publicity release (which must also be signed by such guest’s parent or legal guardian, if minor) prior to travel. Grand Prize winner and winner’s guest must travel together on the same itinerary, including the same departure date, destination and return date. No stopovers are permitted on tickets issued as a prize; if a stopover occurs, the prize will terminate at the stopover point and full fare will be charged for the remaining segments, including the return, of the trip. Sweepstakes Entities are not liable for any expenses incurred as a consequence of a flight cancellation or flight delay. Schedules are subject to change without notice. If American Airlines, for any reason, discontinues service to the selected destination before the travel date, the user must select an alternate American Airlines destination.

7. Drawing and Notification of Winners: Potential winners will be randomly selected from all eligible Sweepstakes Entries received in a drawing to be held on or about March 14, 2008 (“Drawing Date”) by Sweepstakes Administrator, an independent judging organization. Potential Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by phone at the phone number provided on his/her Sweepstakes entry form within approximately two (2) weeks of the Drawing Date. Each First Prize winner will be notified by mail at the street address provided on his/her entry form within approximately two (2) months of the Drawing Date. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or his/her prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and an alternate potential winner for such prize may be selected (at Sponsor’s sole discretion) from all eligible Sweepstakes Entries received.

8. General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively “Rules and Laws”). After notification, potential Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be required to execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), and any other documentation that the Sweepstakes administrator and/or Sponsor may require (collectively “Affidavit/Release”), within five (5) days after receipt, or such potential Grand Prize winner will be disqualified, and an alternate potential Grand Prize winner will be selected from all eligible Sweepstakes Entries received. By returning a completed Affidavit/Release, Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) attests to the provisions stated therein including the accuracy of the information contained therein and compliance with these Official Rules. If a winner is a resident of a jurisdiction that deems him/her to be a minor, his/her prize will be awarded in the name of his/her parent/legal guardian. Once submitted, Entry Information becomes the sole property of Sponsor and will not be acknowledged or returned. Entry information may be shared with Sponsor’s promotional partners to the extent entrants agree at the time of entry and to the extent required for prize fulfillment purposes. Notwithstanding anything to the contrary in Sponsor’s privacy policy located at www.sonypictures.com/corp/privacy.html, and except where prohibited by law, entry and/or a winner’s acceptance of prize constitutes permission of such entrant (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Web Site or associated Web pages, such entrant’s first name, last initial, city, state, for purposes of advertising, trade, promotion and publicity. Additionally, if an entrant chooses to opt-in to receive communications from a participating Sweepstakes Entity, his/her personal information will be subject to that Sweepstakes Entity’s privacy policy and terms of service (if applicable), and such entrant agrees to receive additional email communication from that particular Sweepstakes Entity. Opting in to receive communications does not improve one’s chances of winning a prize. Respective privacy policies of Sweepstakes Entities participating in opt-ins will be accessible from the Sweepstakes entry page. Sponsor is in no way responsible for any independent offers from the Sweepstakes Entities. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device), the Web Site, or any Web page or Web banner ad related to the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with the Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes and conduct the drawing and award the prizes from all eligible, salvageable Sweepstakes Entries received, prior to and/or after (as appropriate) the action taken by Sponsor or in a manner that is fair and equitable as determined by Sponsor. In case of a dispute over the identity of an entrant who submitted a winning Sweepstakes Entry, the authorized account holder of the email address associated with that Sweepstakes Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other on-line organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) must comply with these Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.

9. Limitation of Liability: Sweepstakes Entities are not responsible or liable for Entry Information that is entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated entry limit, or for Sweepstakes Entries that are illegible, late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, altered or otherwise not in compliance with these Official Rules, whether caused by any of the equipment or programming associated with or utilized in the Sweepstakes, or by any technical or human error which may occur in the processing of Entry Information in the Sweepstakes, or for failure to receive Entry Information due to transmission failures or technical failures of any kind and such Entry Information will be disqualified. By entering the Sweepstakes, each entrant (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of the Sponsor which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that the Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the Sweepstakes (including, but not limited to, changes in an entrant’s Entry Information which affects the ability to contact such entrant and ambiguous Questions and/or disputes over answers to Questions); preemption, cancellation, interruption of Show or any elements of Show as it relates to the Sweepstakes; typographical errors in Sweepstakes promotional material; acceptance/possession, defects, and/or use/misuse of any prize; any interruptions/postponement/cancellation of Sweepstakes; human error; incorrect or inaccurate transcription of Entry Information; any technical malfunctions of the computer on-line system, computer dating mechanism, computer equipment, software, or internet service provider utilized by the Sweepstakes or by entrant; interruption or inability to access the Sweepstakes, any Sweepstakes-related Web pages, or any on-line service via the Internet due to hardware or software compatibility problems; any damage to entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of any one or more of the Sweepstakes Entities. Each entrant (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) further agrees to indemnify, defend and hold harmless each of the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against any of the Sweepstakes Entities. Winners (or their parents/legal guardians if they are residents of jurisdictions that deem them to be minors) release Sweepstakes Entities from any and all liability/responsibility with respect to all prizes and/or the Sweepstakes (including any property loss, damage, personal injury, or death) and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of the Sweepstakes Entities, or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of any of the Sweepstakes Entities, or (3) by any other cause, condition or event whatsoever beyond the control of any of the Sweepstakes Entities.

10. ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW: BY SUBMITTING A SWEEPSTAKES ENTRY, ENTRANTS (OR THEIR PARENTS/LEGAL GUARDIANS IF THEY ARE RESIDENTS OF JURISDICTIONS THAT DEEM THEM TO BE MINORS) AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED.

ENTRANTS (OR THEIR PARENTS/LEGAL GUARDIANS IF THEY ARE RESIDENTS OF JURISDICTIONS THAT DEEM THEM TO BE MINORS) FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, OR ANY MOVIE, PRODUCTION OR PROJECT OF SPONSOR OR OF ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.

ENTRANTS (OR THEIR PARENTS/LEGAL GUARDIANS IF THEY ARE RESIDENTS OF JURISDICTIONS THAT DEEM THEM TO BE MINORS) ACKNOWLEDGE THAT THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE SWEEPSTAKES RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES.

Rules/Winners List: For a copy of these Official Rules or the Winners List, send a self-addressed, stamped envelope to: “Fall in Love Again with Seinfeld” Sweepstakes “Rules”/”Winners List” (specify which), P.O. Box 10901, Burbank, CA 91510. All requests must be received by April 29, 2008. These Official Rules will also be available on the Web Site during the entire Sweepstakes Period.
