Official Rules

Eligibility: The Seinfeld Viewers' Choice Sweepstakes (the “Sweepstakes”) is open only to permanent legal residents of the 50 states of the U.S. and D.C., who are physically located and residing therein, and who are 13 years of age or older as of November 12, 2007. Employees, officers, and directors of Hilltop New Media, Inc. ("Sponsor"), Sony Pictures Television Inc., Sony Pictures Digital Inc., TiVo Inc., Logitech, Sweepstakes administrator, each of the entities' parent companies, affiliates, agents, sales representatives, subsidiaries, distributors, advertising and promotion agencies and other related entities, each of the entities' respective prize suppliers, authorized designees, any other individual or entity associated with this Sweepstakes (collectively, "Sweepstakes Entities"), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.
Sweepstakes Description: This Sweepstakes begins at 5:00:00 p.m. Eastern Time ("ET") on November 12, 2007, and ends at 11:59:59 p.m. ET on November 25, 2007 ("Sweepstakes Period"). Sponsor's computer is the official clock for all purposes of this Sweepstakes. As part of the Sweepstakes, prospective participants are asked to watch Seinfeld ("Show"), airing weekdays on television in syndication, for the solution to a multiple choice question about that particular day's episode ("Question"). The Question for each Show episode will be posted from 5:00:00 p.m. ET on the day of the Show to 4:59:59 p.m. ET the following day, except for the Friday Show Question which will be posted until the immediately following Monday at 4:59:59 p.m. ET (11:59:59 p.m. ET on November 25, 2007 for the last Show Question). Check local listings for Show schedule, which may be changed or preempted without notice.
How to Enter: To enter, access the Sweepstakes Web site located at www.seinfeld.com/sweepstakes ("Web Site") and follow the online instructions to complete and thereafter submit the Sweepstakes entry form. Information required on the entry form consists of your First Name, Last Name, Street Address (no P.O. Boxes), City, State, Zip Code, Daytime Phone Number (including area code), Gender, Date of Birth, Email Address, and the correct answer to the stated Show day's Question (collectively, "Entry Information"). All required Entry Information must be completed in full. If you incorrectly answer the Question, you will have the opportunity to answer it again until you answer it correctly. You will receive one (1) entry into the Sweepstakes after you have successfully submitted your Entry Information and correctly answered the Question as described above ("Sweepstakes Entry"). Limit one (1) Sweepstakes Entry per eligible Show during the Sweepstakes Period per person/email address per day (maximum of 10 Sweepstakes Entries per person/email address over the entire Sweepstakes Period). To receive a Sweepstakes Entry for an eligible Show, you must submit a completed Sweepstakes Entry form with the correct answer to that Show's Question by 4:59:59 p.m. ET the day following that Show (4:59:59 p.m. ET on Monday for Friday Shows and 11:59:59 p.m. ET on November 25, 2007 for the last eligible Show on November 23, 2007). Final Sweepstakes Entries must be received by 11:59:59 p.m. ET on November 25, 2007. Proof of submitting a Sweepstakes Entry will not be deemed by Sponsor as proof of receipt or entry into the Sweepstakes. Any attempted form of entry or participation in this Sweepstakes other than as described herein is void.
Prizes/Odds of Winning: Two (2) Grand Prizes each consisting of: One (1) TiVo® HD DVR box (Model: TCD65216) Approximate Retail Value ("ARV"): $299.99 each); one (1) year of TiVo service (ARV $129.00 each); and one (1) Logitech® Harmony 890 Advanced Universal Remote (ARV $349.99 each). Five (5) First Prizes each consisting of: One (1) Seinfeld prize pack (ARV $30.00 each). Prize pack consists of select Seinfeld merchandise which may include a T-shirt, hat, and/or mug. Prize pack merchandise awarded subject to availability and at Sponsor's sole discretion. TOTAL ARV OF ALL PRIZES: $1,707.96. Odds of winning a prize depends on the total number of eligible Sweepstakes Entries received. Grand Prize does not include HDTV. Any costs associated with accepting, redeeming and using prizes (e.g., installation/setup of TiVo HD box (including installation accessories), any applicable programming of electronic devices) are the sole responsibility of the applicable winners. No substitution, transfer or cash equivalent for any prize (or component of any prize), except that Sponsor, in its sole discretion, may substitute a prize (or component of a prize) of equal or greater value due to prize unavailability for any reason. Any depictions of prizes are for illustrative purposes only. All federal, state, or other taxes (if applicable) are the sole responsibility of each winner. Prizes will be mailed / shipped to street addresses in the 50 states of the U.S. or D.C. only. Each Grand Prize winner will receive an IRS Form 1099 for the year in which his/her Grand Prize is awarded from the Sponsor for the total ARV noted in these rules. Limit one (1) prize per person for the entire Sweepstakes Period. The Sweepstakes administrator is not the supplier or guarantor of any prize.
Drawing and Notification of Winners: Potential winners will be randomly selected from all eligible Sweepstakes Entries received in a drawing to be held on or about December 10, 2007 ("Drawing Date") by Sweepstakes administrator, an independent judging organization. Each potential Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by phone at the phone number provided on his/her Sweepstakes entry form within approximately two (2) weeks of the Drawing Date. Each First Prize winner will be notified by mail at the street address provided on his/her entry form within approximately two (2) months of the Drawing Date. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, he/she cannot or does not comply with these Official Rules, and/or his/her prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and an alternate potential winner for such prize may be selected (at Sponsor's sole discretion) from all eligible Sweepstakes Entries received.
General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively "Rules and Laws"). After notification, each potential Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be required to execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), and any other documentation that the Sweepstakes administrator and/or Sponsor may require (collectively "Affidavit/Release"), within five (5) days after receipt, or such potential Grand Prize winner will be disqualified, and an alternate potential Grand Prize winner will be selected from all eligible Sweepstakes Entries received. By returning a completed Affidavit/Release, each Grand Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) attests to the provisions stated therein including the accuracy of the information contained therein and compliance with these Official Rules. If a winner is a resident of a jurisdiction that deems him/her to be a minor, his/her prize will be awarded in the name of his/her parent/legal guardian. Once submitted, Entry Information becomes the sole property of Sponsor and will not be acknowledged or returned. Notwithstanding anything to the contrary in Sponsor's privacy policy located at www.sonypictures.com/corp/privacy.html, and except where prohibited by law, entry and/or a winner's acceptance of prize constitutes permission of such entrant (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Web Site or associated Web pages, such entrant's first name, last initial, city, state, for purposes of advertising, trade, promotion and publicity. Additionally, if an entrant chooses to opt-in to receive communications from a participating Sweepstakes Entity, his/her personal information will be subject to that Sweepstakes Entity's privacy policy and terms of service (if applicable), and such entrant agrees to receive additional email communication from that particular Sweepstakes Entity. Opting in to receive communications does not improve one's chances of winning a prize. Respective privacy policies of Sweepstakes Entities participating in opt-ins will be accessible from the Sweepstakes entry page. Sponsor is in no way responsible for any independent offers from the Sweepstakes Entities. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device), the Web Site, or any Web page or Web banner ad related to the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with the Sweepstakes will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes and conduct the drawing and award the prizes from all eligible, salvageable Sweepstakes Entries received, prior to and/or after (as appropriate) the action taken by Sponsor or in a manner that is fair and equitable as determined by Sponsor. In case of a dispute over the identity of an entrant who submitted a winning Sweepstakes Entry, the authorized account holder of the email address associated with that Sweepstakes Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other on-line organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) must comply with these Official Rules and, at Sponsor's sole discretion, may be required to provide proof of ownership of the email account.
Limitations of Liability: Sweepstakes Entities are not responsible or liable for Entry Information that is entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated entry limit, or for Sweepstakes Entries that are illegible, late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, altered or otherwise not in compliance with these Official Rules, whether caused by any of the equipment or programming associated with or utilized in the Sweepstakes, or by any technical or human error which may occur in the processing of Entry Information in the Sweepstakes, or for failure to receive Entry Information due to transmission failures or technical failures of any kind and such Entry Information will be disqualified. By entering the Sweepstakes, each entrant (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of the Sponsor which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that the Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the Sweepstakes (including, but not limited to, changes in an entrant's Entry Information which affects the ability to contact such entrant and ambiguous Questions and/or disputes over answers to Questions); preemption, cancellation, interruption of Show or any elements of Show as it relates to the Sweepstakes; typographical errors in Sweepstakes promotional material; acceptance/possession, defects, and/or use/misuse of any prize; any interruptions/postponement/cancellation of Sweepstakes; human error; incorrect or inaccurate transcription of Entry Information; any technical malfunctions of the computer on-line system, computer dating mechanism, computer equipment, software, or internet service provider utilized by the Sweepstakes or by entrant; interruption or inability to access the Sweepstakes, any Sweepstakes-related Web pages, or any on-line service via the Internet due to hardware or software compatibility problems; any damage to entrant's (or any third person's) computer and/or its contents related to or resulting from any part of the Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of any one or more of the Sweepstakes Entities. Each entrant (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) further agrees to indemnify and hold harmless each of the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against any of the Sweepstakes Entities. Winners (or their parents/legal guardians if they are residents of jurisdictions that deem them to be minors) release Sweepstakes Entities from any and all liability/responsibility with respect to all prizes and/or the Sweepstakes (including any property loss, damage, personal injury, or death) and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of the Sweepstakes Entities, or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of any of the Sweepstakes Entities, or (3) by any other cause, condition or event whatsoever beyond the control of any of the Sweepstakes Entities.
ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW: BY SUBMITTING A SWEEPSTAKES ENTRY, ENTRANTS (OR THEIR PARENTS/LEGAL GUARDIANS IF THEY ARE RESIDENTS OF JURISDICTIONS THAT DEEM THEM TO BE MINORS) AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR'S AWARD IS BASED.

ENTRANTS (OR THEIR PARENTS/LEGAL GUARDIANS IF THEY ARE RESIDENTS OF JURISDICTIONS THAT DEEM THEM TO BE MINORS) FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, OR ANY MOVIE, PRODUCTION OR PROJECT OF SPONSOR OR OF ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES.

ENTRANTS (OR THEIR PARENTS/LEGAL GUARDIANS IF THEY ARE RESIDENTS OF JURISDICTIONS THAT DEEM THEM TO BE MINORS) ACKNOWLEDGE THAT THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL GOVERN THE VALIDITY AND INTERPRETATION OF THESE SWEEPSTAKES RULES AND ALL OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING OUT OF OR RELATING TO THESE SWEEPSTAKES RULES.
